Dear Chairman Miller and Members of the Board:

This letter is written in response to the letter of December 5,1979 from Arthur L. Sherwood, Counsel for Southern California Edison Company (" Edison"),

to the Board concerning the Staff's objections to the Edison-DWR settlement regarding the subpoena directed to Edison.

tha.t there is no validity to the impli-d The Staff wishes to inform the Boar cation in Mr. Sherwood's letter that tne Staff, after fully participating before the Licensing Board, the Appeal Board, and the Commission in all phases of the dispute concerning the subpoena, deliberately chose to forego the opportunity to participate in the final resolution of the matter and have its views considered by the Licensing Board.

The Staff sees no point at this time in burdening the Board with the details of various bilateral discussions which took place among the Staff, Edison, and DUR.

It is sufficient to note, however, that the Staff will be meeting with representatives of Edison at Edison's headquarters in Rosemead, California on January 16 and 17, 1980 to attempt to resolve this matter without the Board's involvement.

The Staff will inform the Board when either a satisfactory resolution is reached or it appears that an agreement cannot be reached.
