PRICE PURCHASER shall pay COMPN!Y for work hereunder at the price as may be mutually agreed in advance for a specific order.
The rates specified apply during the nehnal working day of eignt hours on Mondays through Fridays, including traveling time frem headquarters and return.
A rate of one and one-half times the said basic rate applies for
, overti=c worked. The overtime rate shall apply to all work and travel on Saturdays and in excess of eight hours en Hondays through Fridays.
All work or travel en Sundays and holidays will be at twice the basic rate.
PURCIRSER shall pay COMPANY, at cost, for travel and living e:ipenses of personnel incidental to the work in accordance '. tith the COMPN!Y'S stancard personnel policies cr, where recuired by PURCHASEP., a per diem rate for local travel and living expenses (excludes transportation to the frem headquarters).

TERMS OF PAYMENT Invoices shall be issued monthly by. COMPANY based on the work perfor=ed the previous month, and payment thercof shall be made by PURCMASER upon receipt of cach invoice.
Equipment will be invoiced by CCGPNiY as shipment thereof is made, and paid by PURCHASER upon receipt of each invoice.
3.
TAXE5 The prices provided for herein ot to be provided hereunder are exclusive of any present of future Federal, State, Municipal, er other sales or use tax with respect to the equipment and services covered hereby, or any other present of future excise tax upon or measured by the gross receipts frc= this transaction or any allocated portion thereof or by the gross value of the work covered hereby and of any present of future oroperty tax or similar charge with respect to the work covered hereby.
If. COMPANY is required by applicable law cr regul,ation to pay or collect any such tax or. taxes on account of this transaction or the work covered.hereby, then such amount of tax shall be paid by PURCHASER in addition to the prices provided for herein.

PERMITS Where the laws, rules or regulations, federal, state or heal, or any agency thereof, require permits, licenses or approval of plants and spccificatiens for the work, or pensits or licenses for the installation er use thereof; PURC1!ASER assumes the responsibility for securing such permits, licenses and approvals frcm the proper authorities and for payment of any rcquired fees.

5.
WARRA!:TY The COMPANY warrants that the equipment delivered hereunder will be free from defects in worbnanship and material, provided written claim with respect '
to such equipment is made by PURCHASER within six (6) months after delivery thereof. The sole liability of COMPAHY and soie remedies of PURCHASER in such case shall be repair or replace =ent, FOB point of shipment, or at Seller's option, credit will be allowed against the original price thereof.
The COMPANY will perfonn the services to be provided hereunder in a manner consistent with generally accepted standards and practices.
If any portion of the services are shown not to have been perfor=ed in such manner and notification is given in writing to the COMPANY within six (6) months from the date such portion of the services was perfor=ed, the COMPAGY will, at its own expense, reperform such services in a manner which is consistent with the generally accepted standards and practices prevailing at the time the oricinal service was performed.
The warrantics and remedies set forth herein ere exclusive and no other warranty, whether statutory, written, oral, express or implied, including warranties of merchantability and fitness fcr a particular purpose, shall apply.
G.
LIMITATION OF LIABILITY Neither.CCMPAHY not its suppliers shall be liable whether arising under contract, tort (including negligence and/or strict liability), or otherwise, for loss of anticipated profits, loss by reasen of plant shutdown, nonoperation or increased expense of operation, service interruptions, cost of purchased or replacement pcwer, claims of custc=crs, claims of PURCHASER'S vendors or subcontractors, loss of use of capital or revenues, cost of m:ney, or for any special, direct, incidental, or consequential loss or damage of any nature arising at any time from any cause whatsoever.
In any event, the total liability of COMPANY and its suppliers, whether in contract, tort (including negligence or strict liability), or otherwise, shall not exceed the pricc of the order under which liability is incurred.
The provisions of this Article shall apply notwithstanding any other provision of this Contract or of any other agreement.
7.

INSURANCE By CG4PANY:
The CG4PANY shall provide and maintain until completion of the work the following forms of insurance in respect to its cwn employees (but not in respect to any persen paid directly by the PURCHASER, but utilized by the C0i4PANY); Workmen's Compensation Insurance, including Employer's Liability Insurance in accordance with the laws of the state in which the C0i4PANY may be required to pay compensation, Public Liability Insurance, with a single limit of liability for bodily injury and for Property Damage in the amount of $500,000 for each occurrence.
By PURCl!ASER:
Risk of loss or damage to PURCHASER'S equipment shall remain with the P'JRCHASER at all times.

NUCLEAR SAZARDS
'ihe PURCHA'SER agrees that the material, equipment, and/or services to be fsenished hereunder shall not be installed in, or used or operated in connection with, or in any =anner associated with a nuclear or atomic energy activity of facility unless and until (a) the PURCHASER shall have entered into an agreement of indemnification with United States Nucicar Regulatory Ccmission as provided under Sect. ion 170 of the Atemic Energy Act of 1954, as. meed.-

and (b) the PURCHASER shall have cbtained such policy or pelicies of. insurance," '
or shall have provided financial prctection or such protection of such type and in such amounts as the United States Nuclear Regulatory Ccemissien shall
' require as a condition of its entering into the indemnity agreement referred to in (a) above.
PURCHASER agrees that CCI4PANY and its suppliers shall be included among' the perscas indemnified under (a) above and among the named insureds or persens protected under (b) above. The PURCHASER further agrees,
with respect to the insurance secured frc= the nuclear energy insurance pcols, to secure and maintain any and all of the amendt. tory endorsuments available at any time which extend the insurance in terms of its coverage and/or its limits of liability.
The PURCHASER agrees to maintain such indemnification agreement, and insurance or other financial protcetion in full force and effect so long as the materials, equipment, and/or services to be furnished hereunder shall be used.
The PURCHASER will further secure prior to date of receipt of fuel assemblies at the jobsite and maintain prcperty insurance in the amount ecual to the completed value of the project or equal to the maximum amount which can be secured through the insurance pools (UEPIA and/or i1AERP), whichever a.:ount is the lesser, under which the C0i4PAHY, its supnliers nd subcontractors will be named insureds and which insurance shall provide that the PURCHASER and the insurance carrier, or carriers, waive any and all rights of recovery and/or subrogation which they or any of them might have or accuire against the C0:4PANY, its suppliers, and subcontractors.

11.
OPERATION OF EOUIPMENT - INTERPRETATION CF DATA COMPANY's personnel are authorized cnly to consult with PdRCHASER and are not authorized to operate PURCHASER'S equip =ent.
Ali operation cf. such equipment shall be performed by and under the control of PURCHASER.
Where applicable, C0!@ANY'S personnel shall advise and consult with PURC!lASEE concerning data generated or obtained in connection with the performance of any work under this Contract; however, PURCHASER accepts total responsibility for the analysis or interpretation of such data and for judging what actions are required as..the result of the data generated or cbtained or any analysis or interpretations. thereof.
12.
PROPRIETARY It!FOPJ4ATION Any proprietary infor: ation c ncerning CCIGAliY'S or its suppliers' products or manufacturing process which is so designated by CO*9N:!Y or its suppliers and disclosed to PURCHASER incident to the performance or this order shall remain the property of CC*iPAtiY or its suppliers and is. disclosed in confidence, and PURCHASER shall not publish or otherwise disclose it to others without the written approval of CO'9ANY, and no rights implied or othcritise are granted to produce or have produced any such products or to practice or cause to be practiced any such manufacturing processes or other processes.
13.
APPLICABLE LAW "This order.shall be interpreted in accordance with the laws of the State of New York.
14.
ASSIG!EENT Any attempt to assign this order shall be void unless prior thereto the parties have mutually agreed to assignment by a duly executed agreement.
15.
INTEGRATION 1661 098 There are nc understandings between the parties hereto as to the suoject matter of this order other than as set forth herein.

This order may not be changed or modified except by a written amendment executed by a duly authorizeo representative of cach party.
