NOTICE OF CORPORATE REORGANIZATION; QUALITY ASSURANCE PROGRAM APPROVAL FOR RADIOACTIVE MATERIAL PACKAGES; APPROVAL NO. 0703, DOCKET NO. 71-0703
Dear Mr. Rahimi:
Nordion (Canada) Inc. ("Nordion") provides this courtesy notification of a planned internal corporate reorganization. Nordion is a Canadian company headquartered in Ottawa, Ontario and is a leading global provider of gamma technologies. The Canadian Nuclear Safety Commission regulates Nordion's licensed radioactive materials activities in Canada. Nordion maintains U.S.
Nuclear Regulatory Commission ("NRC") Quality Assurance Program Approval No. 0703, Docket No. 71-0703 (the "Approval"). Nordion also maintains NRC Material License Nos. 54-28275-01 and 54-28275-02MD for its distribution of licensed materials and manufactured sealed sources in the U.S., and also maintains NRC export license PXB3.10 allowing Nordion to export sealed sources to Nordion's facility in Canada.
The transfer of control would result from a proposed internal corporate reorganization whereby Nordion will be merged with its parent company, 8921903 Canada, Inc., and several other non-licensee affiliated companies. The resulting merged entity will also be named Nordion (Canada) Inc., but the existing Nordion (Canada) Inc. will not be the surviving company. Thus, a new corporate entity will assume the Approval. Importantly, the new entity will have the same name, same address, same personnel, and the same ultimate owners as the existing company.
Thus, no amendment to the Approval is necessary.
The current pre-merger organization structure of Nordion is reflected in the attached Figure 1.
Figure 2 depicts the post-merger organization structure.
Mr. Rahimi October 17, 2018 Page 2 of 2 The planned internal corporate reorganization will not change how the new Nordion corporate entity manages any of its activities regarding the approved QA Program and will not reduce the commitments to the NRC or its obligations set forth in the Approval.
The completion of the planned internal corporate reorganization described in this letter is scheduled to occur on or before December 31, 2018.
