("PPGL") is presently the exclusive owner and constructor of the Susquehanna Steam Electric Station, Units 1 and 2 ("SSES"),
and the holder of Nuclear Regulatory Commission Construction Permits Nos.
CPPR-101.
and CPPR-102 for that facility.
By thi's application, PPGL and Allegheny Electric Cooperative, Inc.
("AE") respectfully request that the Nuclear Regulatory Commission amend Construction Per-mits Nos.
CPPR-101 and CPPR-102 to include AE as a co-owner of
- SSES, consistent with agreements between PPGL and AE as here-inafter described.
PPSL will retain exclusive responsibi ity for the design, construction, and operation, of SSES.

Twelve of its members are rural electric distribution coopera-tives serving rural areas in Pennsylvania and one is a rural electric distribution cooperative serving rural areas in New Jersey.
Each of the members has be'e'n for the most part fi-nanced with loans from the Rural Elec'trification Administration.
=AE is the wholesale power supplier for each 'of its members.

Financial: Qualif'ica'ti'ons PP6L and AE intend to enter into agreements providing for their joint participation in the ownership of SSES.
The principal elements of the several agreements are as follows:
i.
Partici ation A reement PPGL will sell to AE an undivided 10%
interest in SSES (excluding transmission lines), to be held as
tenants in common, for a cash contribution equal to 10% of the expenditures incurred by PPGL 'in respect to SSES.
AE will pay 10% of all construction costs.
PPGL'ill have absolute authority and discretion for the planning, design, acquisition and con-struction of SSES, and is authorized to act on AE's behalf in such capacities, including the pursuit of required authorizations, permits and licenses from the Nuclear Regulatory Commission and other regulatory authorities.

'A'r'e'em'ent-PPGL will have absolute authority and discretion to control, manage, operate and maintain SSES.
AE 4
will pay 108 of all operating costs of SSES and, will receive 10% of the capacity and energy of SSES.
P iii. 'ransmi'ss:ion' re'ement AE will pay for the construction, operation and maintenance of, and will own, the greater portion of Sunbury-Susquehanna transmission line."
PPGL will construct, operate and maintain this line for the account of AE.
PPGL will have the complete and free use of this line so long as either unit of SSES is in commercial operation.
'PPGL shall pro-vide to AE, without charge or cost, except as specifically set.
forth in the Transmission Agreement, a transmission service for AE's power produced by SSES from SSES to PPGL's points of inter-connection with other utilities with which AE has arrangements for the delivery of such power for AE, and certain other transmission services.
iv.
'owe'r Pu'rcha:se':r'e'ement During the first nine years of SSES operation, PPGL will purchase back from AE a declining portion of AE's 10% share of the energy from SSES.

Source -of"AE.Payments for Ownership Partici a'tion:in SSES'E intends to obtain a Commitment Notice of a Federal Financing Bank loan with 'a Rural Electrification Administration
("REA") guarantee in which the Federal Financing Bank agrees to lend to AE funds sufficient for AE to discharge its obligations to pay to PPaL'0% of the cost of the planning, design, licensing, acquisition, construction and completion of SSES.
Proper utilization of the funds by AE will be actively audited by REA.
Prior to the issuance by the Nuclear Regulatory Commission of the license amendments he'rein requested, Applicants will furnish to the Nuclear Regulatory Commission a copy of the Commitment Notice.
c.
Financial Sta't'emen'ts The most recent annual report of AE is attached to this application as Appendix B.

Securit A reement AE agrees, pursuant to 10 CFR g50.37,. that it will not permit any individual to have access to Restricted Data until the Civil Service Commission shall have made an investigation and a report to the Nuclear Regulatory Commission
on the character, associations and loyalty of such individual, and the Nuclear Regulatory Commission shall have determined that permitting such person to have access to Restricted Data will not endanger the common defense and security.

Communic'at:i'on PPGL will be solely responsible hereafter for communications with the Nuclear Regulatory Commission related to SSES.
Accordingly, all communications to PPGL and AE per-taining to SSES should continue to be sent to:
