CORPORATE RESTRUCTURING OF PACIFIC GAS AND ELECTRIC COMPANY

Dear Mr. Duncan:

On April 29, 1996, the NRC received your comments in the matter of the proposed corporate restructuring of Pacific Gas and Electric Company (PG&E) to form a Holding Company, which was submitted on November 1,

1995, by PG&E to the NRC.

In your comments you state that "PG&E is not in compliance with its NRC licensing conditions and any transfer will not comport with the statutory standards for such action" and reference "PG&E's apparent failure to adhere to the Stanislaus COIIIIitments."

The NRC takes very seriously statements that indicate that a licensee is not in compliance with the terms and conditions of its license.

Accordingly, we have decided to follow up your statements.

The first step in that process is to identify the specific evidence on which you base your concerns.

Because the comments you offered regarding alleged violation of the license conditions are general in nature, we are requesting that you submit to NRC the specific details of the alleged violations.

For

example, specify which license conditions, when the violations occurred, who has corroborating information, etc.

This information should be submitted to the NRC within 30 days of receipt of this letter.

Therefore, if the above is incorrect, please contact us within 2 weeks at (301) 415-1313.

If you prefer, you may mark corrections on this letter and return it to us.

The next step in our review process will be to conduct a detailed review of the issues you raise.

Resolution of your concerns has been assigned to Project Directorate IV-2 of the Division of Reactor Projects III/IVof the Office of Nuclear Reactor Regulation.

Our goal is to complete the review within 180 days of receiving your response to this request.

Upon completion of our review, we will inform you in writing of the results.
