NRC attendees: Kristina Banovac, Anneliese Simmons, JoAnn Simpson, Christopher Regan, Beth Mizuno, Susan Uttal Yankee CompanieslNUINST AR attendees: Joe Fay, Wayne Norton, Duncan MacKay, Neven Rabadjija, David Repka, Tim Matthews, Larry Chandler The purpose of the call was to discuss: (I) the draft RSIs related to the Yankee Companies' request for exemption from 10 CFR 50.38 and the request for indirect license transfer related to the pending merger of NU and NSTAR, to make sure the RSls are clear and the applicants understand what information is being requested, and to establish a time frame for the applicants' response to the RSls; and (2) NRC's review process and schedule for the review of the exemption request and indirect license transfer related to the NU and NSTAR merger.

NRC staff reviewed the RSIs, requesting information on the financial arrangements between NSTAR and Iberdrola and Emera regarding proposed agreements and contracts for Groton Wind, New England Wind, and Blue Sky East. The NRC is also r equesting information on any other contractual or other arrangements between NU, NSTAR, and foreign entities. NRC staff answered questions from the applicants to clarify the RSls and stafrs review process. The applicants noted they will respond to the RSls within thirty days. NRC noted that it would establish a review schedule for the exemption once the requested supplemental information is received. NRC staff also invited the applicants to meet with NRC in a noticed open meeting, if they wished to discuss the review in more detail.

NRC staff also noted that sumbiUing a negation action plan, as NRC requested in its April 20, 2011 , letter, remains an available option, in lieu of the exemption request. NRC noted that it could provide examples of negation actions plans, and the applicants noted they would be interested in seeing the examples.

NRC staff noted that it plans to send additional RAls related to decommissioning funding by the end of July 2011. NRC will contact the applicants to arrange a call to discuss the draft RAIs, to make sure they are clear and to establish a timeframe for the applicants' response.
