Dear Mr. Hayes:

As discussed during the October 25, 2007 conference call among the Nuclear Regulatory Commission

("NRC"), Westinghouse'Electric Company and CBS Corporation, in order to accomplish the release of escrow of the award of the arbitration panel which decided certain issues related to the TR-2 and Waltz Mill facilities, certain actions must take place. I understand that the NRC is presently reviewing an application for termination of the TR-2 license. Should it decide to take that action, in order to facilitate the release of the escrow, I would ask that the license termination letter (or a separate letter issued contemporaneously) explicitly recognize that the letters of credit submitted by CBS as evidence of financial qualifications for the TR-2 license have been returned to CBS. As you are aware, Westinghouse has submitted evidence of financial qualifications for the entire Waltz Mill site (including the former TR-2 facilities).
