COMANCHE PEAK STEAM ELECTRIC STATION, UNITS 1 AND 2 - RE:

ISSUANCE OF CONFORMING AMENDMENTS FOR INDIRECT TRANSFER OF LICENSES (TAC NOS. MD6892 AND MD6893)

Dear Mr. Blevins:

The Commission has issued the enclosed Amendment No. 139 to Facility Operating License No. NPF-87 and Amendment No. 139 to Facility Operating License No. NPF-89 for the Comanche Peak Steam Electric Station, Units 1 and 2, respectively. The amendments consist of changes to the Facility Operating Licenses in response to your application dated April 18, 2007, as supplemented by letters dated July 20 and October 2, 2007.

The amendments replace all references to TXU Generation Company LP with Luminant Generation Company LLC in the Facility Operating Licenses. In addition, the NRC staff has included in the final conforming amendments license condition (8), in section 2.C of both operating licenses. This license condition was previously incorporated by letter dated July 26, 2007, and was inadvertently omitted in the "draft" conforming amendments in Enclosure 2 of the September 10, 2007, letter transmitting the Order approving the conforming license amendments.

An Order approving the indirect license transfers, and approving the conforming license amendments, was issued together with a Safety Evaluation on September 10, 2007. The Notice of Issuance will be included in the Commission's next biweekly Federal Register notice.

The Nuclear Regulatory Commission (the Commission) has found that:

A.

The application for amendment by TXU Generation Company LP dated April 18, 2007, as supplemented by letters dated July 20 and October 2, 2007, complies with the standards and requirements of the Atomic Energy Act of 1954, as amended (the Act), and the Commission's rules and regulations set forth in 10 CFR Chapter I; B.

The facility will operate in conformity with the application, as amended, the provisions of the Act, and the rules and regulations of the Commission; C.

There is reasonable assurance (i) that the activities authorized by this amendment can be conducted without endangering the health and safety of the public, and (ii) that such activities will be conducted in compliance with the Commission's regulations; D.

The issuance of this license amendment will not be inimical to the common defense and security or to the health and safety of the public; and E.

The issuance of this amendment is in accordance with 10 CFR Part 51 of the Commission's regulations and all applicable requirements have been satisfied.

2.

Accordingly, the license is amended as indicated in the attachment to this license amendment.

3.

The license amendment is effective as of its date of issuance and shall be implemented within 7 days from the date of issuance.
