SUBJECT:

SAFETY EVALUATION (SE) FOR THE PROPOSED TRANSFER OF OPERATING LICENSE DPR-28 FOR VERMONT YANKEE NUCLEAR POWER STATION FROM VERMONT YANKEE NUCLEAR POWER CORPORATION TO ENTERGY NUCLEAR VERMONT YANKEE, LLC, AND ENTERGY NUCLEAR OPERATIONS, INC.

The attached analysis constitutes our financial qualifications review input to the safety evaluation (SE) for the Vermont Yankee Nuclear Power Station (VY), on the proposal submitted by Vermont Yankee Nuclear Power Corporation (VYNPC), Entergy Nuclear Vermont Yankee, LLC (Entergy Nuclear VY) and Entergy Nuclear Operations, Inc. (ENO), dated October 5, 2001.

The proposal requests the Commission's consent to the transfer of the Facility Operating License DPR-28 for VY from VYNPC to Entergy Nuclear VY to possess, and to ENO to possess, use and operate VY. The proposal also requested the approval of conforming license amendments to reflect the proposed transfer and was filed pursuant to Sections 50.80 and 50.90 of Title 10 of the Code of Federal Regulations.

The basis for the staff's review is 10 CFR 50.80(a) which states, "No license for a production or utilization facility, or any right thereunder, shall be transferred, assigned, or in any manner disposed of, either voluntarily or involuntarily, directly or indirectly, through transfer of control of the license to any person, unless the Commission shall give its consent in writing."

With respect to our review, the NRC staff concludes that Entergy Nuclear VY and ENO are qualified to hold the facility license following the proposed sale as described herein.
