Dear Sirs:

PacifiCorp is a minority, non-operating licensee of the Independent Spent Fuel Storage Installation (the "ISFSI"), under the license referred to above, associated with the now-decommissioned Trojan Nuclear facility. In 2005, MidAmerican Energy Holdings Company

("MEHIC") reached agreement to acquire PacifiCorp Holdings, Inc. ("PacifiCorp Holdings"). As a resul tof that transaction, PacifiCorp would become an indirect, wholly owned subsidiary of MEHC. On June 30,' 2005, as supplemented on August 12, 2005, PacifiCorp, PacifiCorp Holdings and MEHC filed an Application with the Nuclear Regulatory Commission, seeking consent for an indirect transfer of PacifiCo p's interest in the license, because indirect control of PacifiCorp would be transferred to MEHC. However, because PacifiCorp would remain the licensee, no amendment to the license itself was required.

l MEHC also owns an interest in the Quad Cities Nuclear Power Station, Units No. I and 2. The letter submitted to the Commission on August 12, 2005, informed the Commission of an impending change in the voting rights held by certain i'ivestors of MEHC due to a conversion of stock. On October 4, 2005, the Commission Staff issued a letter stating that, under the circumstances presented to the Commission, the stock conversion would not effect an indirect transfer of the licenses regarding Quad Cities. On February 9, 2006, the stock conversion was effectuated without material change from the circumstances described to the Commission.

On December 29, 2005, the Commission approved the Application for indirect transfer of license. OrderApproving PacifiCorpApplicationfor Consent to Indirect Transfer ofMaterials License SNM-2509 (2005). The Order was "effective upon issuance." Id. at 4.

The purpose of this letter is to inform the Commission that MEHC and PacifiCorp Holdings consummated the proposed transaction on March 21, 2006. No changes have been made i: the ISFSI, or the identity of the licensee, and the transaction conforms in all material respects to that proposed in the Application and approved by the Commission.
