Dear Mr. Crane:
This is in regard to letter dated March 3, 2005, in which Exelon Generation Company, LLC (EGC) requested, to the extent necessary, the consent of the U.S. Nuclear Regulatory Commission (NRC) under Section 50.80 of the Code of Federal Regulations (10 CFR) to the indirect transfer of the licenses for Braidwood Station, Units 1 and 2, Byron Station, Units 1 and 2, Dresden Nuclear Power Station, Units 1, 2, and 3, LaSalle County Station, Units 1 and 2, Limerick Generating Station, Units 1 and 2, Peach Bottom Atomic Power Station, Unit 1, Quad Cities Nuclear Power Station, Units 1 and 2, and Zion Nuclear Power Station, Units 1 and 2.
EGC also requested NRC's consent to the indirect and direct transfer of the licenses for Peach Bottom Atomic Power Station, Units 2 and 3 (Peach Bottom). The requests for the license transfer approvals are related to the pending merger between Exelon Corporation, EGCs indirect parent company, and Public Service Enterprise Group (PSEG).
The NRC staff has performed a threshold review of the facts and circumstances set forth in EGC's letter, and has considered how the merger will be implemented as described in the relevant Securities and Exchange Commission filings and the final structure of the merged entities. The staff has concluded that before the proposed transfer of PSEG Nuclear LLCs interests in Peach Bottom, Units 2 and 3, to EGC may occur, prior NRC approval under 10 CFR 50.80 of the corresponding direct license transfers will be required. The staff has further concluded, however, that no NRC indirect license transfer approvals are required with respect to EGCs current interests in Peach Bottom, Units 1, 2, and 3 or in the other subject reactors.
C. Crane A notice of consideration of approval of direct license transfers and conforming amendments for Peach Bottom, Units 2 and 3, will be published in the Federal Register shortly and will be provided to EGC by separate letter.
With the exception of direct license transfer activities regarding PSEG Nuclear LLC's interest in Peach Bottom Atomic Power Station, Units 2 and 3, this letter documents the closure of license transfer activities for the remaining reactors.
