(TAC No. MC1 595)"
Pursuant to Section 111(1) of the above referenced NRC Order approving the transfer of the Kewaunee Nuclear Power Plant from Nuclear Management Company, LLC, Wisconsin Public Service Corporation, and Wisconsin Power and Light Company to Dominion Energy Kewaunee, Inc. (DEK), this letter serves as the five (5) day notification to the Director, Office of Nuclear Reactor Regulation that all necessary regulatory approvals have been received for transfer of the Kewaunee Nuclear Power Plant (KNPP) to DEK.1 IPursuant to Section 32(a) of the Public Utility Holding Company Act of 1935 (PUHCA), as amended, on April 22, 2005 DEK filed with the Federal Energy Regulatory Commission (FERC) a good faith application for determination that DEK is an exempt wholesale generator (EWG). Also under PUHCA Section 32(a), and under 18 C.F.R. Section 365.4 of the FERC's regulations implementing PUHCA, the filing of that application confers EWG status on KNPP pending FERC's issuance of an order on the application.

U.S. Nuclear Regulatory Commission Page 2 In connection with the approval of the sale of Kewaunee by the Public Service Commission of Wisconsin, Dominion Energy Kewaunee committed to certain conditions. Conditions considered relevant to the NRC's Order include the following:
o Dominion Energy Kewaunee agreed to an increase in the amount of the parent company guarantee provided to Dominion Energy Kewaunee for replacement power costs in connection with the power purchase agreements. NRC's Safety Evaluation cited this guarantee as supporting its finding that Dominion Energy Kewaunee is financially qualified to cover the operating costs of Kewaunee. An increase in this guarantee amount only serves to provide further support for NRC's finding, but in any event, has no adverse effect on the validity of NRC's findings.
o Upon final completion of all decommissioning activities at Kewaunee, Dominion Energy Kewaunee agreed to return excess ratepayer funds contained in Dominion Energy Kewaunee's Qualified Decommissioning Trust Fund for Kewaunee. This condition does not affect the requirement for, or ability of, Dominion Energy Kewaunee to meet its decommissioning funding responsibilities for Kewaunee as it only addresses excess funds that may exist once Kewaunee decommissioning activities have been completed. Consequently, this additional sale condition has no adverse effect on the validity of NRC's findings.
