Dear Mr. Jaffe:

On September 5, 2002 you requested the comments of the Department of Justice on proposed amendments to the antitrust license conditions attached to the Facility Operating License Nos. NPF-76 and NPF-80 for the South Texas Project, Units 1 and 2. The amendments would delete the Antitrust license conditions in their entirety. You have given us a copy of the proposed amended conditions and information concerning the proposed amendments.

Based on our examination of the information you submitted we have no objections to the proposed amendments to the South Texas Project, Units 1 and 2 antitrust license conditions.
