In support of the Application, the Firm respectfully represents as 23 follows:

The Firm is providing expert economic advise to Pacific Gas and Electric 25 Company, the debtor and debtor-in-possession in the above-referenced bankruptcy case (the 26 "Debtor"). The Firm hereby applies to the Court for allowance and payment of interim 27 compensation for services rendered and reimbursement of expenses incurred during the 28 Application Period.

The Firm billed a total of $4,437.50 in fees and expenses during the Application Period. Exhibit 1 hereto is the name of each professional who performed services in connection with 3

this case during the period covered by this Application and the hourly rate for each such 4

professional; and attached as Exhibit 2 is an Account Summary. The detailed time and 5

expense statements for the Application Period that comply with all Northern District of 6

California Bankruptcy Local Rules and Compensation Guidelines and the Guidelines of the 7 -Office of the United States Trustee have been submitted to the Office of the United States 8

Trustee and mailed to counsel for the Committee and to the Debtor.

The Firm is serving a copy of this Application (without Exhibits) on the 10 Special Notice List in this case.

Pursuant to this Court's "SECOND AMENDED ORDER ESTABLISHING 12 INTERIM FEE APPLICATION AND EXPENSE REIMBURSEMENT PROCEDURE,"

HOWARD 13 which was entered on or about March 18, 2002, the Debtor is authorized to make the payment DX'

"'A'N3 7 14 requested herein without a further hearing or order of this Court, unless an objection to this 15 Application is filed with the Court by the Debtor, the Committee or the United States Trustee 16 and served by the fifteenth day of the month following the service of this Application. If such 17 an objection is filed, Debtor is authorized to pay the amounts, if any, not subject to the 18 objection. The Firm is informed and believes that this Cover Sheet Application was mailed 19 by first class mail, postage prepaid, on or about May 9, 2003.

The interim compensation and reimbursement of expenses sought in this 21 Application is on account and is not final. Upon the conclusion of this case, the Firm will 22 seek fees and reimbursement of the expenses incurred for the totality of the services rendered 23 in the case. Any interim fees or reimbursement of expenses approved by this Court and 24 received by the Firm (along with the Firm's retainer) will be credited against such final fees 25 and expenses as may be allowed by this Court.

WHEREFORE, the Firm respectfully requests that the Debtor pay compensation to the Firm as requested herein pursuant to and in accordance with the terms of the"SECOND AMENDED ORDER ESTABLISHING INTERIM FEE APPLICATION AND EXPENSE
