19 20 Please take notice that Cooley Godward LLP (Cooley") has put into place revised billing 21 rates for its professionals, which are applicable to Pacific Gas & Electric Company (Debtor")
22 effective April 1, 2003.
23 BACKGROUND 24 Traditionally, Cooley reviews and assesses its billable rates for its professionals once a 25 year and, when appropriate, revises those rates. Under the terms of Cooley's letter of engagement 26 with the Debtor, Cooley notified the Debtor in late 2001 of its intent to increase its rates charged 27 to all clients, effective January 1,2002. After some discussion between the Debtor and Cooley, it 28 was agreed that Cooley would delay its 2002 rate increase with respect to the Debtor to and

I through June 30, 2002 and would put the 2002 rates into effect for matters related to the Debtor 2
on July 1, 2002. Cooley's agreement to defer implementation of its 2002 rates resulted in a 3
substantial savings to the Debtor and the Debtor's estate.
4 Cooley also notified the Debtor of its intent to increase its rates charged to all clients, 5
effective January 1, 2003. After some discussion between the Debtor and Cooley, it was recently 6
agreed that Cooley would delay its 2003 rate increase with respect to the Debtor to and through 7
March 31, 2003 and would put the 2003 rates into effect for matters related to the Debtor as of 8
April I, 2003. Attached hereto as Exhibit A are Cooley's 2003 rates, effective for the Debtor as 9
of April, 2003, for professionals who have been regularly engaged in providing services to the 10 Debtor.
