PwC will not 12 provide any services to the Debtor relating to matters that are in contention with the 13 14 Committee of Unsecured Creditors, nor will any information be shared between myself, advice to the PG&E Official 15 as the only remaining person within PwC providing with the Consulting 16 Committee of Unsecured Creditors, and the team assisting the Debtor 17 Project.

PwC does not believe that its involvement in the Consulting Project is 19 adverse in any way to the interests of the Committee of Unsecured Creditors and 20 PwC's representatives of the Committee have informed me that they have no objection to 21 to abide by the ethical 22 involvement in the Consulting Project provided that we continue 23 wall procedures addressed in the prior paragraph.
