No. 94-0742640 16 CHARLES RIVER ASSOCIATES INCORPORATED 17 COVER SHEET APPLICATION FOR ALLOWANCE AND PAYMENT OF INTERIM COMPENSATION 18 AND REIMBURSEMENT OF EXPENSES FOR JANUARY, 2002 19 Charles River Associates Incorporated (the "Firm") submits its Cover Sheet 20 Application (the "Application") for Allowance and Payment of Interim Compensation and 21 Reimbursement of Expenses for the Period January 1, 2002 through January 31, 2002 (the 22 "Application Period"). In support of the Application, the Firm respectfully represents as 23 follows:

1. The Firm is providing economic advice to Pacific Gas and Electric 25 Company, the debtor and debtor-in-possession in the above-referenced bankruptcy case (the 26 "Debtor"). The Firm hereby applies to the Court for allowance and payment of interim 27 compensation for services rendered and reimbursement of expenses incurred during the 28 0/

1 Application Period.

2 2. The Firm billed a total of $9,821.86 in fees and expenses during the 3 Application Period. The total fees represent 21.25 hours2.893519e-4 days <br />0.00694 hours <br />4.133598e-5 weeks <br />9.5125e-6 months <br /> expended during the Application 4 Period. These fees and expenses break down as follows:

9 3. Accordingly, the Firm seeks allowance of interim compensation in the total 10 amount of $ 8,577.05 at this time. This total is comprised as follows: $7,053.94 (85% of the 11 fees for services rendered) plus $1,523.11 (100% of the expenses incurred).

With regard to the copies of this Application served on counsel for the 8 Official Committee of Unsecured Creditors (the "Committee"), the Debtor and the Office of 9 the United States Trustee, attached as Exhibit 1 hereto is the name of each professional who 10 performed services in connection with this case during the Application Period and the hourly 11 rate for each such professional; and attached as Exhibit 2 is an Account Summary. The 12 detailed time and expense statements for the Application Period that comply with all HCVO 13 Northern District of California Bankruptcy Local Rules and Compensation Guidelines and RK=

ýCANpdx the Guidelines of the Office of the United States Trustee have been submitted in electronic cAP. 15 form to the Office of the United States Trustee and mailed to counsel for the Committee and 16 to the Debtor.

17 7. The Firm is serving a copy of this Application (without Exhibits) on the 18 Special Notice List in this case.

Pursuant to this Court's "ORDER ESTABLISHING INTERIM FEE 20 APPLICATION AND EXPENSE REIMBURSEMENT PROCEDURE," entered on or about 21 July 26, 2001, and subsequent "AMENDED ORDER ESTABLISHING INTERIM FEE 22 APPLICATION AND EXPENSE REIMBURSEMENT PROCEDURE," entered on or about 23 November 8, 2001 (the "Amended Order"), the Debtor is authorized to make the payment 24 requested herein without a further hearing or order of this Court, unless an objection to this 25 Application is filed with the Court by the Debtor, the Committee or the United States Trustee 26 and served by the fifteenth day of the month following the service of this Application. If such 27 an objection is filed, Debtor is authorized to pay the amounts, if any, not subject to the 28 objection. The Firm is informed and believes that this Cover Sheet Application was mailed WD 021202/1-1419904/975452/v 1 by first class mail, postage prepaid, on or about 25 March, 2002.

2 9. The interim compensation and reimbursement of expenses sought in this 3 Application is on account and is not final. Upon the conclusion of this case, the Firm will 4 seek fees and reimbursement of the expenses incurred for the totality of the services rendered 5 in the case. Any interim fees or reimbursement of expenses approved by this Court and 6 received by the Firm (along with the Firm's retainer) will be credited against such final fees

.7 and expenses as may be allowed by this Court.

The Firm represents and warrants that its billing practices comply with all 9 Northern District of California Bankruptcy Local Rules and Compensation Guidelines and 10 the Guidelines of the Office of the United States Trustee. Neither the Firm nor any members 11 of the Firm has any agreement or understanding of any kind or nature to divide, pay over or 12 share any portion of the fees or expenses to be awarded to the Firm with any other person or HCYAR 13 attorney except as among the members and associates of the Firm.
