TAC No. L24498 Re: Notice of Mer2er Closing On December 20, 2011, the Nuclear Regulatory Commission ("NRC") issued an order approving the indirect transfer of facility operating license No. DPR-61 for the former Connecticut Yankee power plant (i.e., Haddam Neck Plant). The order approved the transfer of control of the facility, including the Independent Spent Fuel Storage Installation, as necessary to effect the merger of Northeast Utilities ("NU") and NSTAR.

NU and NSTAR are owners of companies that are shareholders of Connecticut Yankee Atomic Power Company ("Connecticut Yankee"), the NRC licensee for the facility.

In the NRC's license transfer approval, the NRC ordered Connecticut Yankee to inform the Director of the Office of Nuclear Material Safety and Safeguards, in writing, of the date of closing of the NU - NSTAR merger at least one business day before the closing. Accordingly, Connecticut Yankee hereby provides notice that we have been informed by the parties involved in the merger that the closing is scheduled to take place on Tuesday, April 10, subject to the filing of their certificate of merger with the Commonwealth of Massachusetts Secretary of State. We will update the NRC if the timing of the closing changes.
