II.UndercoverofaletterdatedDecember20,1999,ComEdsubmittedanapplicationrequestingapprovaloftheproposedtransferofthefacilityoperatinglicensestoanew generatingcompany,ExelonGenerationCompany,LLC(ExelonGenerationCompanyorEGC) tobeformedinconnectionwiththeproposedmergerofUnicomCorporation(Unicom),the parentofComEd,andPECOEnergyCompany(PECO).ComEdalsorequestedapprovalof conforminglicenseamendmentstoreflectthetransfer.Supplementalinformationwasprovided bysubmittalsdatedJanuary14,March10,March23,March29,andJune16,2000.

Hereinafter,theDecember20,1999,applicationandsupplementalinformationwillbereferred tocollectivelyasthe"application."TheconformingamendmentswouldremoveComEdfrom thefacilityoperatinglicenses,addExelonGenerationCompanyinreferencestothelicensee,andmakeseveralmiscellaneousadministrativechangesthataccuratelyreflectthetransferof thelicensestoExelonGenerationCompany.Aftercompletionoftheproposedtransfer,Exelon GenerationCompanywillbethesoleownerandoperatorofBraidwood,Units1and2.ByaseparateapplicationdatedDecember20,1999,PECOrequestedapprovalofthetransferofthefacilityoperatinglicensesthatitholdstoExelonGenerationCompany.That applicationisbeingaddressedseparately.ApprovalofthetransferofthefacilityoperatinglicensesandconforminglicenseamendmentswasrequestedbyComEdpursuantto10CFR50.80and10CFR50.90.Notice oftherequestforapprovalandanopportunityforahearingwaspublishedintheFederalRegisteronMarch9,2000(65FR12584).TheCommissionreceivednocommentsorrequestsforhearingpursuanttosuchnotice.Under10CFR50.80,nolicense,oranyrightthereunder,shallbetransferred,directlyorindirectly,throughtransferofcontrolofthelicense,unlesstheCommissionshallgiveits consentinwriting.UponreviewoftheinformationintheapplicationbyComEd,andother informationbeforetheCommission,andrelyingupontherepresentationsandagreements containedintheapplication,theNRCstaffhasdeterminedthatExelonGenerationCompanyis qualifiedtoholdthelicenses,andthatthetransferofthelicensestoExelonGeneration Companyisotherwiseconsistentwithapplicableprovisionsoflaw,regulations,andorders issuedbytheCommission,subjecttotheconditionssetforthbelow.TheNRCstaffhasfurther foundthattheapplicationfortheproposedlicenseamendmentscomplieswiththestandards andrequirementsoftheAtomicEnergyActof1954,asamended,andtheCommission'srules andregulationssetforthin10CFRChapterI;thefacilitywilloperateinconformitywiththe application,theprovisionsoftheActandtherulesandregulationsoftheCommission;thereis reasonableassurancethattheactivitiesauthorizedbytheproposedlicenseamendmentscanbeconductedwithoutendangeringthehealthandsafetyofthepublicandthatsuchactivities willbeconductedincompliancewiththeCommission'sregulations;theissuanceofthe proposedlicenseamendmentswillnotbeinimicaltothecommondefenseandsecurityortothe healthandsafetyofthepublic;andtheissuanceoftheproposedamendmentswillbein accordancewith10CFRPart51oftheCommission'sregulationsandallapplicable requirementshavebeensatisfied.ThefindingssetforthabovearesupportedbyasafetyevaluationdatedAugust3, 2000.III.Accordingly,pursuanttoSections161b,161i,161o,and184oftheAtomicEnergyActof1954,asamended,42USC§§2201(b),2201(i),2201(o),and2234;and10CFR50.80,IT ISHEREBYORDEREDthatthetransferofthelicensesasdescribedhereintoExelon GenerationCompanyisapproved,subjecttothefollowingconditions:

(1)ExelonGenerationCompanyshallprovidetheDirectoroftheOfficeofNuclearReactorRegulationacopyofanyapplication,atthetimeitisfiled,totransfer(excludinggrants ofsecurityinterestsorliens)fromExelonGenerationCompanytoitsproposeddirector indirectparent,ortoanyotheraffiliatedcompany,facilitiesfortheproduction, transmission,ordistributionofelectricenergyhavingadepreciatedbookvalue exceedingtenpercent(10%)ofExelonGenerationCompany'sconsolidatednetutility plant,asrecordedonExelonGenerationCompany'sbooksofaccount. (2)ComEdshalltransfertoExelonGenerationCompanythedecommissioningtrustfundsforBraidwood,Units1and2,inthefollowingminimumamounts,whenBraidwood, Units1and2,aretransferredtoExelonGenerationCompany:

Braidwood,Unit1$154,273,345 Braidwood,Unit2$154,448,967(3)ThedecommissioningtrustagreementsforBraidwood,Units1and2,atthetimethetransferoftheunitstoExelonGenerationCompanyiseffectedand,thereafter,are subjecttothefollowing:

(a)Thedecommissioningtrustagreementsmustbeinaformacceptabletothe NRC.(b)Withrespecttothedecommissioningtrustfunds,investmentsinthesecuritiesorotherobligationsofExelonCorporationoraffiliatesthereof,ortheirsuccessors orassignsareprohibited.Exceptforinvestmentstiedtomarketindexesorother non-nuclearsectormutualfunds,investmentsinanyentityowningoneormore nuclearpowerplantsareprohibited.(c)ThedecommissioningtrustagreementsforBraidwood,Units1and2,mustprovidethatnodisbursementsorpaymentsfromthetrustsshallbemadebythe trusteeunlessthetrusteehasfirstgiventheDirectoroftheOfficeofNuclear ReactorRegulation30dayspriorwrittennoticeofpayment.The decommissioningtrustagreementsshallfurthercontainaprovisionthatno disbursementsorpaymentsfromthetrustsshallbemadeifthetrusteereceives priorwrittennoticeofobjectionfromtheNRC. (d)Thedecommissioningtrustagreementsmustprovidethattheagreementscannotbeamendedinanymaterialrespectwithout30dayspriorwrittennotification totheDirectoroftheOfficeofNuclearReactorRegulation.(e)Theappropriatesectionofthedecommissioningtrustagreementsshallstatethatthetrustee,investmentadvisor,oranyoneelsedirectingtheinvestmentsmade inthetrustsshalladheretoa"prudentinvestor"standard,asspecifiedin 18CFR35.32(a)(3)oftheFederalEnergyRegulatoryCommission'sregulations.(4)ExelonGenerationCompanyshalltakeallnecessarystepstoensurethatthedecommissioningtrustsaremaintainedinaccordancewiththeapplicationforapproval ofthetransferoftheBraidwood,Units1and2,licensesandtherequirementsofthis Orderapprovingthetransfer,andconsistentwiththesafetyevaluationsupportingthis Order.(5)BeforethecompletionofthetransferofBraidwood,Units1and2,toit,ExelonGenerationCompanyshallprovidetheDirectoroftheOfficeofNuclearReactor RegulationsatisfactorydocumentaryevidencethatExelonGenerationCompanyhas obtainedtheappropriateamountofinsurancerequiredoflicenseesunder10CFR Part140oftheCommission'sregulations.(6)AfterreceiptofallrequiredregulatoryapprovalsofthetransferofBraidwood,Units1and2,ComEdshallinformtheDirectoroftheOfficeofNuclearReactorRegulation,in writing,ofsuchreceiptwithin5businessdays,andofthedateoftheclosingofthe transfernolaterthan7businessdayspriortothedateoftheclosing.Shouldthe transferofthelicensesnotbecompletedbyJuly31,2001,thisOrdershallbecomenull andvoid,provided,however,uponwrittenapplicationandforgoodcauseshown,such datemayinwritingbeextended. (7)ApprovalofthetransferofthelicensesforBraidwood,Units1and2,isconditioneduponallofthePECOandComEdnuclearunitsdescribedintheapplicationtobe transferredtoExelonGenerationCompanybecomingownedbyExelonGeneration Companycontemporaneously.

ITISFURTHERORDEREDthat,consistentwith10CFR2.1315(b),licenseamendmentsthatmakechanges,asindicatedinEnclosure7tothecoverletterforwardingthis Order,toconformthelicensestoreflectthesubjectlicensetransfersareapproved.The amendmentsshallbeissuedandmadeeffectiveatthetimetheproposedlicensetransfersare completed.ThisOrderiseffectiveuponissuance.

Hereinafter,theDecember20,1999,applicationandsupplementalinformationwillbereferred tocollectivelyasthe"application."TheconformingamendmentswouldremoveComEdfrom thefacilityoperatinglicenses,addExelonGenerationCompanyinreferencestothelicensee,andmakeseveralmiscellaneousadministrativechangesthataccuratelyreflectthetransferof thelicensestoExelonGenerationCompany.Aftercompletionoftheproposedtransfer,Exelon GenerationCompanywillbethesoleownerandoperatorofByron,Units1and2.ByaseparateapplicationdatedDecember20,1999,PECOrequestedapprovalofthetransferofthefacilityoperatinglicensesthatitholdstoExelonGenerationCompany.That applicationisbeingaddressedseparately.ApprovalofthetransferofthefacilityoperatinglicensesandconforminglicenseamendmentswasrequestedbyComEdpursuantto10CFR50.80and10CFR50.90.Notice oftherequestforapprovalandanopportunityforahearingwaspublishedintheFederalRegisteronMarch9,2000(65FR12583).TheCommissionreceivednocommentsorrequestsforhearingpursuanttosuchnotice.Under10CFR50.80,nolicense,oranyrightthereunder,shallbetransferred,directlyorindirectly,throughtransferofcontrolofthelicense,unlesstheCommissionshallgiveits consentinwriting.UponreviewoftheinformationintheapplicationbyComEd,andother informationbeforetheCommission,andrelyingupontherepresentationsandagreements containedintheapplication,theNRCstaffhasdeterminedthatExelonGenerationCompanyis qualifiedtoholdthelicenses,andthatthetransferofthelicensestoExelonGeneration Companyisotherwiseconsistentwithapplicableprovisionsoflaw,regulations,andorders issuedbytheCommission,subjecttotheconditionssetforthbelow.TheNRCstaffhasfurther foundthattheapplicationfortheproposedlicenseamendmentscomplieswiththestandards andrequirementsoftheAtomicEnergyActof1954,asamended,andtheCommission'srules andregulationssetforthin10CFRChapterI;thefacilitywilloperateinconformitywiththe application,theprovisionsoftheActandtherulesandregulationsoftheCommission;thereis reasonableassurancethattheactivitiesauthorizedbytheproposedlicenseamendmentscanbeconductedwithoutendangeringthehealthandsafetyofthepublicandthatsuchactivities willbeconductedincompliancewiththeCommission'sregulations;theissuanceofthe proposedlicenseamendmentswillnotbeinimicaltothecommondefenseandsecurityortothe healthandsafetyofthepublic;andtheissuanceoftheproposedamendmentswillbein accordancewith10CFRPart51oftheCommission'sregulationsandallapplicable requirementshavebeensatisfied.ThefindingssetforthabovearesupportedbyasafetyevaluationdatedAugust3, 2000.III.Accordingly,pursuanttoSections161b,161i,161o,and184oftheAtomicEnergyActof1954,asamended,42USC§§2201(b),2201(i),2201(o),and2234;and10CFR50.80,IT ISHEREBYORDEREDthatthetransferofthelicensesasdescribedhereintoExelon GenerationCompanyisapproved,subjecttothefollowingconditions:

(a)Thedecommissioningtrustagreementsmustbeinaformacceptabletothe NRC.(b)Withrespecttothedecommissioningtrustfunds,investmentsinthesecuritiesorotherobligationsofExelonCorporationoraffiliatesthereof,ortheirsuccessors orassignsareprohibited.Exceptforinvestmentstiedtomarketindexesorother non-nuclearsectormutualfunds,investmentsinanyentityowningoneormore nuclearpowerplantsareprohibited.(c)ThedecommissioningtrustagreementsforByron,Units1and2,mustprovidethatnodisbursementsorpaymentsfromthetrustsshallbemadebythetrustee unlessthetrusteehasfirstgiventheDirectoroftheOfficeofNuclearReactor Regulation30dayspriorwrittennoticeofpayment.Thedecommissioningtrust agreementsshallfurthercontainaprovisionthatnodisbursementsorpayments fromthetrustsshallbemadeifthetrusteereceivespriorwrittennoticeof objectionfromtheNRC. )COMMONWEALTHEDISONCOMPANY)DocketNos.50-295,)50-304(ZionNuclearPowerStation,)Units1and2))ORDERAPPROVINGTRANSFEROFLICENSESANDCONFORMINGAMENDMENTS I.CommonwealthEdisonCompany(ComEd,thelicensee)istheholderofFacilityOperatingLicensesNos.DPR-39andDPR-48fortheZionNuclearPowerStation,Units1and 2(thefacility).ThefacilitywasshutdownpermanentlyinFebruary1997.ComEdcertifiedthe permanentshutdownonFebruary13,1998,andcertifiedthatallfuelhadbeenremovedfrom thereactorvesselsonMarch9,1998.Inaccordancewith10CFR50.82(a)(2),thefacility operatinglicensesnolongerauthorizeComEdtooperatethereactorsortoloadfuelinthe reactorvessels.Thefacilityislocatedatthelicensee'ssiteinLakeCounty,Illinois.

II.UndercoverofaletterdatedDecember20,1999,ComEdsubmittedanapplicationrequestingapprovaloftheproposedtransferofthefacilityoperatinglicensestoanew generatingcompany,ExelonGenerationCompany,LLC(ExelonGenerationCompany),tobe formedinconnectionwiththeproposedmergerofUnicomCorporation(Unicom),theparentof ComEd,andPECOEnergyCompany(PECO).ComEdalsorequestedapprovalofconforming amendmentstoreflectthetransfer.Supplementalinformationwasprovidedbysubmittals datedJanuary14,March10,March23,March29,andJune16,2000.Hereinafter,the December20,1999,applicationandsupplementalinformationwillbereferredtocollectivelyasthe"application."TheconformingamendmentswouldremoveComEdfromthefacility operatinglicenses,addExelonGenerationCompanyinreferencestothelicensee,andmake miscellaneouschangesthataccuratelyreflectthetransferofthelicensestoExelonGeneration Company.Aftercompletionoftheproposedtransfer,ExelonGenerationCompanywillbethe soleownerofZion,Units1and2.ByaseparateapplicationdatedDecember20,1999,PECOrequestedapprovalofthetransferofthefacilityoperatinglicensesthatitholdstoExelonGenerationCompany.That applicationwillbeaddressedseparately.ApprovalofthetransferofthefacilityoperatinglicensesandconforminglicenseamendmentswasrequestedbyComEdpursuantto10CFR50.80and10CFR50.90.Notice oftheapplicationsforapprovalandanopportunityforahearingwaspublishedintheFederalRegisteronMarch9,2000(65FR12586).TheCommissionreceivednocommentsorrequestsforhearingpursuanttosuchnotice.Under10CFR50.80,nolicense,oranyrightthereunder,shallbetransferred,directlyorindirectly,throughtransferofcontrolofthelicense,unlesstheCommissionshallgiveits consentinwriting.UponreviewoftheinformationintheapplicationbyComEd,andother informationbeforetheCommission,andrelyingupontherepresentationsandagreements containedintheapplication,theNRCstaffhasdeterminedthatExelonGenerationCompanyis qualifiedtoholdthelicenses,andthatthetransferofthelicensestoExelonGeneration Companyisotherwiseconsistentwithapplicableprovisionsoflaw,regulations,andorders issuedbytheCommission,subjecttotheconditionssetforthbelow.TheNRCstaffhasfurther foundthattheapplicationfortheproposedlicenseamendmentscomplieswiththestandards andrequirementsoftheAtomicEnergyActof1954,asamended,andtheCommission'srules andregulationssetforthin10CFRChapterI;thefacilitywilloperateinconformitywiththeapplication,theprovisionsoftheActandtherulesandregulationsoftheCommission;thereis reasonableassurancethattheactivitiesauthorizedbytheproposedlicenseamendmentscan beconductedwithoutendangeringthehealthandsafetyofthepublicandthatsuchactivities willbeconductedincompliancewiththeCommission'sregulations;theissuanceofthe proposedlicenseamendmentswillnotbeinimicaltothecommondefenseandsecurityortothe healthandsafetyofthepublic;andtheissuanceoftheproposedamendmentswillbein accordancewith10CFRPart51oftheCommission'sregulationsandallapplicable requirementshavebeensatisfied.ThefindingssetforthabovearesupportedbyasafetyevaluationdatedAugust3, 2000.III.Accordingly,pursuanttoSections161b,161i,161o,and184oftheAtomicEnergyActof1954,asamended,42USC§§2201(b),2201(i),2201(o),and2234;and10CFR50.80,IT ISHEREBYORDEREDthatthetransferofthelicensesasdescribedhereintoExelon GenerationCompanyisapproved,subjecttothefollowingconditions:

(1)ExelonGenerationCompanyshallprovidetheDirectoroftheOfficeofNuclearReactorRegulationacopyofanyapplication,atthetimeitisfiled,totransfer(excludinggrants ofsecurityinterestsorliens)fromExelonGenerationCompanytoitsproposeddirector indirectparent,ortoanyotheraffiliatedcompany,facilitiesfortheproduction, transmission,ordistributionofelectricenergyhavingadepreciatedbookvalue exceedingtenpercent(10%)ofExelonGenerationCompany'sconsolidatednetutility plant,asrecordedonExelonGenerationCompany'sbooksofaccount. (2)ComEdshalltransfertoExelonGenerationCompanythedecommissioningtrustfundsforZion,Units1and2,inthefollowingminimumamounts,whenZion,Units1and2,are transferredtoExelonGenerationCompany:

(a)Thedecommissioningtrustagreementsmustbeinaformacceptabletothe NRC.(b)Withrespecttothedecommissioningtrustfunds,investmentsinthesecuritiesorotherobligationsofExelonCorporationoraffiliatesthereof,ortheirsuccessors orassignsareprohibited.Exceptforinvestmentstiedtomarketindexesorother non-nuclearsectormutualfunds,investmentsinanyentityowningoneormore nuclearpowerplantsareprohibited.(c)ThedecommissioningtrustagreementsforZion,Units1and2,mustprovidethatnodisbursementsorpaymentsfromthetrustsshallbemadebythetrustee unlessthetrusteehasfirstgiventheDirectoroftheOfficeofNuclearReactor Regulation30dayspriorwrittennoticeofpayment.Thedecommissioningtrust agreementsshallfurthercontainaprovisionthatnodisbursementsorpayments fromthetrustsshallbemadeifthetrusteereceivespriorwrittennoticeof objectionfromtheNRC. (d)Thedecommissioningtrustagreementsmustprovidethattheagreementscannotbeamendedinanymaterialrespectwithout30dayspriorwrittennotification totheDirectoroftheOfficeofNuclearReactorRegulation.(e)Theappropriatesectionofthedecommissioningtrustsagreementshallstatethatthetrustee,investmentadvisor,oranyoneelsedirectingtheinvestmentsmade inthetrustsshalladheretoa"prudentinvestor"standard,asspecifiedin 18CFR35.32(a)(3)oftheFederalEnergyRegulatoryCommission'sregulations.(4)ExelonGenerationCompanyshalltakeallnecessarystepstoensurethatthedecommissioningtrustsaremaintainedinaccordancewiththeapplicationforapproval ofthetransferoftheZion,Units1and2,licensesandtherequirementsofthisOrder approvingthetransfer,andconsistentwiththesafetyevaluationsupportingthisOrder.(5)BeforethecompletionofthetransferofZion,Units1and2,toit,ExelonGenerationCompanyshallprovidetheDirectoroftheOfficeofNuclearReactorRegulation, satisfactorydocumentaryevidencethatExelonGenerationCompanyhasobtainedthe appropriateamountofinsurancerequiredoflicenseesunder10CFRPart140ofthe Commission'sregulations.(6)AfterreceiptofallrequiredregulatoryapprovalsofthetransferofZion,Units1and2,ComEdshallinformtheDirectoroftheOfficeofNuclearReactorRegulation,inwriting, ofsuchreceiptwithin5businessdays,andofthedateoftheclosingofthetransferno laterthan7businessdayspriortothedateoftheclosing.Shouldthetransferofthe licensesnotbecompletedbyJuly31,2001,thisOrdershallbecomenullandvoid, provided,however,uponwrittenapplicationandforgoodcauseshown,suchdatemay inwritingbeextended. (7)ApprovalofthetransferofthelicensesforZion,Units1and2,isconditioneduponallofthePECOandComEdnuclearunitsdescribedintheapplicationtobetransferredto ExelonGenerationCompanybecomingownedbyExelonGenerationCompany contemporaneously.

ITISFURTHERORDEREDthat,consistentwith10CFR2.1315(b),licenseamendmentsthatmakechanges,asindicatedinEnclosure12tothecoverletterforwarding thisOrder,toconformthelicensestoreflectthesubjectlicensetransfersareapproved.The amendmentsshallbeissuedandmadeeffectiveatthetimetheproposedlicensetransfersare completed.ThisOrderiseffectiveuponissuance.
