As can be soon from this onclosure, a substantial portion of LIPA sito positions (nearly ninety porcent for management and technical profescional personnel alone) are to be filled by incumbent LILCO personnel who ha*. o been performing ossentially the samo or similar functions at Shoreham.
Modifications to the prosent site organization will thus be limited to now upper aanagement personnel and minor changes in organizational structuro (sco Enclosure 4), which would not significantly affect the day-to-day conduct of routino physical and technical activities at Shoreham.                                                                  This conclusion                  is further          rainforced        by  the              planned                LIPA utilization of existing clerical and physical labor pools as described in Enclosure 5.

1 e ,i AGREEMENT CONCERNING COEMPLOYMENT OF CERTAIN NEW YORK POWER AUTilORITY AND LONG ISLAND POWER AUTHORITY EMPLOYEES WilEREAS , the Long Island Power Authority ("LIPA") and the Now York Power Authority ("NYPA") ontored into a Management Services Agrooment on January 24, 1990, pursuant to which NYPA is performing services for LIPA related to the License Transfor, Maintenanco and Decoitmissioning of the Shoreham Nuclear Power Station ("Shorchna"l ;
and WilEREAS , on June 28, 1990, LIPA and the Long Island Lighting Company ("LILCO") filed with the United States Nuclear Regulatory Commission  ("NRC")          an application to transfor Shoreham's NRC license from LILCO to LIPA ("Licenso Transfer Application"), which Application    describes,                        among        other                                                                  things, how cortain NYPA employees will be employed by LIPA as well as by NYPA                                                                                                      (the "Coemployoos"); and WHEREAS, LIPA and NYPA now wish to document the terms and conditions under which cortain NYPA employoos will become Co-employees; HOW THEREFORE, LIPA and NYPA agroo as follows:

: 1.          This Agreement shall commence on March 26, 1991, and shall continue until terminated by either party upon a resolution by the trustees of either LIPA or NYPA.                              Upon the occurrence of such a resolution, the party wishing to terminate shall give the other      party    sixty        (60)  days              prior  written  notice  of such termination.          In the event the Decommissioning of Shoreham shall not have been completed through license termination by the NRC prior to delivery of the notice of termination, NYPA and LIPA agroo to cooperate, in good faith, to carry out all responsibilities and obligations under this Agreement and to accomplish the prompt transfer of the responsibilities of the Coomployees to other ihdividuals satisfactory to LIPA and the NRC.                              During the period between the delivery of the notice of termination and the date on which such transfer is accomplished, LIPA shall pay all NYPA Costs, as defined in the Management Sorvices Agreement, in a timely manner and perform its other responsibilities and obligations under this Agreement        and        NYPA    shall    perform            its  responsibilitica  and obligations under this Agreement.
: 2.      It is presently planned that seven NYPA employees with pertinent nuclear energy experience will be employed directly by LIPA as Coomploycos, serving in the following capacities as part of LIPA's Shoreham organization                        Executive Vice President, Shoreham                    ,

  ,      .i Department Head; Quality Assurance / Quality Control Department Head; and .iicensing/ Regulatory Compliance Department Head.                                      Descriptions of each of these pcsitions and the duties to be carried out are found in Appendix C to the License Transfer Application.                                        LIPA and NYPA w).11 work together to revise the position descriptione and duties if the need should arise and recognize that depending on the course of activities at Shoreham and NRC revim                                            of the License ansfer applicat. ion, more or fewer NYPA employees may need to be employed by LIPA as Coomployees.                  Tha duties of the Coomployees Vill involve the actions necessary or advisabic to effect the License Transfer, Asset Transfer, Maintenance and Deconuissioning of Shoreham, as those terms are used in the Management Services Agreement.
: 3.      The Chairman of LIPA and the Chairman of NYPA sh 11 jointly agree upon the designation of individual Coomployees, and may amend such designation from time-to-time Lf mutual agreement.
The designation of individual Coemployees,                                    and any amendments thereto,      shall    bc        reflected  in  a    document                        to  be  entitled
            " Designation of Cocmp1vyees."
: 4. All Coemployees, except for the Executive Vice President, Shoreham Project, will work on a full-time / exclusive basis on the Shoreham Project.        The Executive Vice President, Shoreham Project, will serve as a Coemployee on a part-time basis, as he will. also serve as NYPA's senior nuclear officer or president.

: 5. All Coemployees will be accountable to,                                                      will take dirsction directly or indirectly from, and will report to LIPA's Executive Director (and ultimately to LIPA's Board of Trustees) .
Reporting responsibilities are more fully described in Exhibit 1 of Appendix C to the License Transfer Application which sets forth the Shoreham Project Organization and in the position descriptions.
The Chairman of    LIPA,  after consultation with the Executive Director and the Executive Vice President, Shoreham Project, may remove any Coomployee from the Shoreham Project, and any Coemployee may choose to resign as a LIPA employee.                                  Replacement of a Coemployee will be agreed upon in the manner set forth in Paragraph 3 above.
: 6. So long as an individi.*1 is serving as a Coemployee, he or she shall be considered an officer and/or an employee of LIPA, as the case may be, for the purposes of Section 1020-bb of the Public Authorities Law and Sections 17 and 18 of the Public Officers Law, in addition to his or her status as a NYPA employee.
: 7. LIPA and NYPA will meet periodically to ensure that the coemployment process is working satisfactorily.                            If LIPA or NYPA or any Coemployee believes that a conflict of interest may arise between the obligations of a Coempic,yee to LIPA and NYPA, senior officiais of LIPA and NYPA will meet promptly to resolve the situation.

: 8. NYPA shall be responsible fcr all compensation, including benefits,    of Coemployees and                          for reimburnement of reasonable expenses incurred by Coomployees in performing their duties as Coemployees. The costs for such compensation and reimbursement f or expenses are Costs Attributable to Shoreham, as defined in the Management Servicos Agreement, and shall be paid to NYPA by LIPA, in accordance with the terms of the Management Services Agreement.
: 9. This Agreement is the entire agreement of LIPA and NYPA relating to Coomployees, and this Agreement may be modified only in writing signed by LIPA and NYPA.
: 10. This Agreement is binding upon the successors of LIPA and NYPA, and may not be assigned by LIPA or NYPA without the prior written consent of the other party.
: 11. Any waiver of rights or obligations under this Agreement shall be ef f ective only if it is in writing signed by both LIPA and NYPA.

DESIGNATION OF COEMPLOYEES WHEREAS, the Long Island Power Authority ("LIPA") and the New York Power Authority ("NYPA") on March 26, 1991, entered into an Agreement concerning Coemployment of Certain New York Power Authority and Long Island Power Authority Employees
("Coemployment Agreement"), pursuant to which certain NYPA employees will be employed by LIPA as well as by NYPA (the "Coemployees"); and WHEREAS, the Coemployment Agreement specifies that the Chairman of LIPA and the Chairman of NYPA shall jointly agree upon the designation of individual Coemployees and shall reflect such designations in a document to be entitled " Designation of Coemployees;" and WHEREAS, the Chairman of LIPA and the Chairman of NYPA and their respective staffs have conferred about the persons to be designated as Coemployees;.and WHEREAS, the Chairman of LIPA and the Chairman of NYPA now wish to document their jointly-agreed-upon designations of Ccemployees and to establish a procedure for making changes to such designations;

Principal Differences Botween The Pre-Transfer LILCO and Post-Transfer LIPA Shoreham Organizational Structures LIPA is separating the major functions                                                                                                of  LILCO's  Nuclear Operations Support Department as follows:
: 1)  LIPA's                              Licensing / Regulatory                                                              Compliance  Department  will incorporate the LILCO Nuclear Licensing and Regulatory Affairs Division.
: 2)  LIPA's Nuclear Operations Support Department will retain the LILCO Nuclear Site Security Division and combine it with a training coordination function.
: 3)  LIPA's Finance and Administration Department will incorporate some budget, cost control, and contractual elements of LILCO's Nuclear Contracts and Material Control Division and Nuclear Financial Services Division.
: 4)  LIPA's Nuclear Operations Support Department will retain the Nuclear Records Administraticn and Records Management elements of LILCO's Nuclear Financial Services Division.
LIPA is separati.mg the major funictions of the LILCO Operations Staff Division as follows:
: 1)  LIPA's Nuclear Operations Suppc'rt Department will incorporate the records management and document control functions of the LILCO Plant Administrative Coordinator, and the LILCO Fire Protection and Site Safety Section.                                                                                                                    ,

LIPA is consolidating the LILCO Reactor / Systems Engineer Section and  the LILCO Modification Engineer Section into a single System / Modification Engineer Section (Operations. Division).
LIPA is consolidating-the LILCO Instrument and Control Engineer Section and the LILCO Computer Engineer Section into a single I&C/ Computer Engineer Section (Maintenance Division).
LIPA is replacing the LILCO Nuclear Review Board, which reports to the LILCO Nuclear Quality Assurance Department Manager, with a new Independent Review Panel reporting directly to the Chairman of LIPA and ultimately to the LIPA Board of Trustees.

;                                                                                                                                                                Staffina Levels The projected LIPA organization staffing levels at the Shoreham site will consist of the following at the time of licenso transfer, subject to change in accordance with future project requirements:
o                            Management and technical professional positions as described in Enclosure 3 will account for 168 people either exclusively employed by or directly assigned to LIPA on a full-time basis, plus 28 full-timo equivalent personnel supporting the "ucioar Engineering Division on a non-exclusive basis.
o                              Physical labor personnel within the. Operation and Maintenance Department (OMD) are expected to total approximately 130 people, including 5 Nuclear Station Operators (NSO's) and 5 Nuclear Assistant Station Operators (NASO's).                                                                              The NSO's and NASO'S are all currently licensed Reactor Operators (notes the Watch Engincors identified in Enclosure 3 are all currently licensed Senior Reactor Operators). The balance of the OMD physical labor personnel will consist of Equipment operators, Watch Supervisor, Shift Production Assistants, Radwasto operators, Radwaste Mechanics, Radiochemistry Technicians, Health Physics Technicians, Nuclear Maintenance Mechanics, Maintenance Mechanics, Tool Room Mechanics, Plant Tool Room Keeper, I&C Technicians, I&C Laboratory Testers, and Computer Technicians.
All of the above personnel are presently employed by or under contract to LILCO at Shoreham.
o                                Physical labor personnel within the Nuclear Operations Support Department (NOSD) are expected to consist of Fire Protection Technicians and a Security Force commensurate with the requirements of the acproved Security Plan. All of those personnel are presently employed by or under contract to LILCO at Shoreham, o                                Physical labor staffing for decommissioning activities will be obtained by LIPA on a centracted basis, with staffing levels to be determined by detailed review of the tasks and scheduleu contained in the LIPA Shoreham Nuclear Power Station Decommissioning Plan.
o                                clerical support for the LIPA Shoreham organization will bo provided consistent with the needs of the individual departments.
In addition to the above, LIPA anticipates that approximately 8-10 full-timo equivalent personnel in the LILCO office of Corporate Services will provide offsite support for LIPA's Shoreham offorts in such areas as emergoney preparedness and training.
