On January 31, 1977, this Board sustained Licensee's objections in part and overruled Licensee's objections in part.

2240.

Licensee's further answers to those interrogatories as to which Licensee's objections were overruled are attached as Attachment A. Affidavits certifying that such further answers are true and correct to the best ,of affiant's knowledge are attached as Attachments B, C, D, E and F.

Interrocatory 1(b) : " Describe in detail whether you believe Dow has an. obligation to purchase steam or electricity at any time, regardless of the date, when the Midland nuclear facilit*f first becomes operational." '

Licensee contracted with Dow to "use its best efforts to place Unit 2 of the Generating Plant in commercial operation on or before March 1, 1979 and Unit 1 on or before March 1, 1980." These dates are the " target commercial operation dates."

Under the Steam Service Contract, Dow has ag' reed to buy steam' from the nuclear plant for an initial term of twenty years from the date Unit 1 of the plant is declared by Licensee to..be available for commercial bperation, and thereafter until -

In meetings with Dow, the target dates for commercial operation of the Midland Units have since been changed to: .

sertice from the Midland Plant if such service were available on or before December 31, 1984.

Licensee believes that Dow would not be excused frem performing under the steam and electric service contracts by virtue of the units being placed on line scmetime after, rather than on or before, the current target, or estimated, dates.

However, a court of last resort might not hold that Dow's obli-gations to perform continue forever. Rather, it is possible a court of last resort would hold that Dow would at seme point be relieved from performing in the event of unreasonable delay in initial operation. The point in time at which such relief might be afforded Dow is impossible to predict, since it would rest on a judicial analysis of the facts and circumstances at that' time, as well as the vagaries of litigation.

Licensee finances construction on a total-program basic rather than by individual construction projects. If the Michigan Public Service Ccmmission (MPSC) allows Licensee adequate rate relief in the ccming years, Licensee will be able to finance its entire construction program for 1977 through 1982.

In its most recent application to the MPSC for an electric rete increase, filed on January 31, 1977 (MPSC Case -

No. 5331), Licensee is seeking an increase in authorized rate of return on ecmmon equity frem the presently authorized 12.75%

to 15.0%. The highest rate of return on equity recently auth-orized by MPSC for an electric utility has been 13.5%. Licensee is also seeking approval of certain accounting changes which will increase its cash flow. .

Attachments A, B and C depict electric cash statements for the 1976 to 1982 period, assuming authorized rates of return on equity of 12.75%, 13.5% and 15.0%, respecuively, both with and without credits for planned sales of generating capacity' to certain electric cooperatives. All of the attachments take credit for the requested'accounti$ng changes. The statements show the sources of funds for construction broken into net internally generated funds, external financing and sinking fund

2 and other debt retirements. Line 15 shows Licensee's estimate of electric construction expenditures assuming third party con-tributions are received for the major construction projects on attachments A-1, B-1 and C-1, and assuming no such contributions

, are received on attachments A-2, B-2 and C-2. On each attach-ment, the total of internally generated funds on line 1 plus the total external financing on line 10 less the total sinking fund and other debt retirements shown on line 14 equals the construction expenditures on line 15.

Net internal generation consists primarily of retained earnings, depreciation, deferred taxes, changes in accounts payable, changes in accounts receivable, and changes in inven-tories. 'The respective contribution of external financings shown on lines 3 through 7 is dictated by Licensee's capitali-zation objective of 53% debt, 12% preferred-preference and 35% common equity.

As is demonstrated on the Attachments, Licensee will meet its minimum coverage requirements for indenture coverage of,2 times (shown on line 18) (which is a condition

} for the issuance of bonds) and its minimum requirements for articles coverage of 1.5 times (shown on line 19) (which is *

a condition for the issuance of preferred stock) throughout ,

the 1976 to 1982 period, even at 12.75% with no credit for the sales to cooperatives. Many assumptions have been made in preparing these projections. Since determining factors in these l

assumptions are largely beyond the control of Licensee, Licensee cannot warrant that these projections will be the actual l

results in the 1976 to 1982 period.

(3 cont'd] -3 Attachments A-1 and A-2 show Licensee's financing plan through 1982 if the MPSC authorizes a 15.0% rate of return on equity and also approves the requested accounting changes, A-1 assumes credits for the sale of portions of the Midland Units and Campbell 3 Unit to certain rural electric cooperatives.

A-2 is the same case without the Midland credits. On these assumptions, Licensee can finance its entire construction program as planned.

Attachments B-1 and B-2 show Licensee's financing plan through 1982 if the MPSC authorizes a 13.5% rate of return on equity and approves the requested accounting changes. B-1 assumes credits for the planned sales to cooperatives, while B-2 assumes no credits for the planned Midland sale. On these assumptiens, also, Licensee can finance its entire construction program as planned.

Attachments C-1 and C-2 show Licensee's financing plan through 1982 if the !!PSC authorizes no increase frcm the present 12.75% rate cf return on equity but does approve the requested accounting changes. C-1 is with the credits for sales to cooperatives and C-2 is without the Midland credits.

Even under these assumptions, Licensee's entire program can be financed as planned.

It is, of course, possible that the !@SC will grant less than the requested increase in authori:ed rate of return on equity and will not approve all of the requested accounting changes. Under many combinations of increased rate of return and authorized accounting changes, Licensee's construction program could still be financed as planned.

,i- [3 cont'd] -4 If the MPSC continues to authori:e a rate of return of only 12.75%, and fails to approve the requested accounting changes, Licensee would not be able to finance its entire construction program as pisnned. The sale of additional securi-ties might still be possible in order to make up part of the shortfall in internally generated funds. Any remaining shortfall would have to be eliminated by deferring or eliminating items presently included in the construction program. Even under this g I .

worst-case assu=ption, however, the amounts of funds generated are clearly sufficient to finance completion of the Midland Units, which comprise only about 40% of the construction budget in the period in question, together with a substantial additional amount of construction.

were supplied to Dow. The electrical output of the. Midland

, Units without any steam supplied to Dow would be 1256 MW. A copy of the study is attached, and is also being supplied to the NRC Staff in response to the Staff's letter requested dated January 27, 1977.

Electricity is being served to Dow from Licensee's integrated system rather than from the Midland Plant. The Dow 1 demand assumed for our system planning purposes is 130 MW in 1981,175 SM in 1982, and 190 MW in 1983,1984 and 1985 (Midland Intervenors' Exhibit 18). If it is assumed that this demand will not materialire, the projected system demand would still

, require new generating capacity in 1981, assuming Palisades is not. operating (as presently planned), and by 1982,-even with

-Palisades in operation.- There would be insufficient lead time to add generating capacity other than Midland to meet demand j

PRELIMINARY STUDY SINGLE PURPOSE MIDLAND ELECTRIC ONLY (1256 MWe NET)

The attached table ccmpiles the 1 2212ed annual mills per kilowatt-hour for a single purpose electric only plant at Midland'. It assumes a net electric output of 1256 MWe which is based on heat balances for no steam to Dow and which indi-cate outputs of 445 MWe frem Unit 1 and 811 MWe from Unit 2.

The capacity factor of the 1256 MWe output is assumed to be 70%. The capital cost for the electric only plant was assur to be $1.67 billion less S141 million for the investment purely associated with the producticn of steam giving a net of $1.529

• billion.

With respect to the nuclear core, it was assumed that the Unit '

1 first core and first reload batch were purchased for a 2452 MWt plant even though the Unit 1 core would only be supplying 1469 MWt with no process steam to Dow. The shuffling schedule on fuel was based on 30 months for the first core with the first 1/3 core reload batch going in at that time. At the end of the next 18 months a 1/5 core shuffling schedule was im-posed, resulting in an " equilibrium cycle" of one year.

The fuel cycle costs for the first 20 years of plant life were calculated using CONFUCY, the Consumers Power Nuclear Fuel Cycle Program. After this period, the fuel cycle costs were escalated at a composite rate of 4.8% per year for the remaining 14 years of the plant lifetime.

Interrogatory 9: "If for any reason Dow does not operate its present fossil-fueled facilities after 1980, do you agree that it is no longer necessary frcm a cost-benefit standpoint to build Midland as currently designed at its present' location?" .

No. First of all, Dow may be able to secure an extension beland 1980 of its consent order with the Michigan Air Pollution s ontrol Cem=ission, en the basis of proposed modifications in the plants to convert coal-burning facilities to oil in order to meet emission limits by 1982 (see Board Exhibit 3).

Secondly, even if such relief were not afforded Dow and it would be required to meet emission limits by 1980, Dow could codify its existing coal-burning facilities, and the .

method of operation of those facilities, in order to meet emission limits after 1980. (Ibid.) This is particularly true because it would be extremely difficult, if not impossible, for Dow to have alternate facilities on line in 1980.

• Third, even if Dow does not operate its facili-ties'after 1980, Dou might still desire steam from'the nuclear facility when it is completed, and could take electricity from Licensee's system even before the nuclear facility is completed.

Finally, even if it is assumed that Dow will not operate its present facilitie's after 1980, and will not take steam and electricity from Licensee, the preliminary study attached to the further answer to Interrogatory 5 above shows that completion of the nuclear plant would still be cost effective.

The steps and actions currently under way concerning energy conservation, as outlined in Section 1.1.0 of the Environmental Report Supplement, October 26, 1977, pp. 1.1-1 to 1.1-15, include actions over the past several years to reduce expenditures and encourage customer conservation efforts. It is not possible to quantify the sales effects of these conserva- .

tion efforts, either singly or in the aggregate.

The reduced rate of growth experienced by Licensee since 1973 reflects a combination of factors including custe=er conservation efforts, recession effects, and other factors, none of which is separately quantifiable. While the savings from present and past conservation efforts cannot be clearly identified, the re-duction in Licensee's estimated growth rate in its long-range forecast includes'the effect of those efforts. 4 1

b. As Licensee has no plans for mandatory energy conservation in the period 1976 to 1986, other than emergency measures, no savings frem this I scurce can be quantified. l l

c. The effect of the recently ordered residential inverted rate is still being analyzed. Licensee has no present plans to extend this concept to other rate classifications. In fact, in the electric rate case filed by Licensee on January 31, 1977, Licensee has proposed that the inverted rate he rescinded because it unfairly penalizes 1

poor rural customers and farmers, and that Licensee revert to a flat type rate for resi-dential custer.ers. -
