G2 Indirect Cost Rates A. Pending the establishment of final overhead rates which shall be negotiated based on audit of actual costs, the Contractor shall be reimbursed for allowable jndirect costs hereunder at the provisional rate of 82.6% of! direct labor l                      for Company 1 and 62% of direct labor for Company 2.

G.10        Task Orders I                    This is a " Task Order" contract under which all work requirements will be issued at the sole option of the NRC, in writing from the J
Contracting Officer, and upon receipt of which, the contractor is obligated to perfom. The contractor shall not commence effort prior to receipt of a definitized task order signed by the Contracting Officer.

NRC-02-87-004 Page 5 The contractor shall not consnence work prior to receipt of a definitized task order signed by the NRC Contracting Officer.
However, in some circumstances, it may be necessary for the contractor to consnence work before he has submitted his proposal and before a final cost and fee has been agreed upon and a definitized task order is issued. Accordingly, when the NRC Contracting Officer so authorizes, the contractor shall, within 24 hours (or as otherwise stated) of receipt of verbal task order request for pro *posal, proceed with the work subject to an agreeable limitation (based on telephonic negotiations).                                                      .
Where the contractor is authorized as indicated above to consnence work prior to the definitization of a task order, the NRC Contracting Officer, within 30 days or such additional period as may be mutually agreed upon after receipt of the contractor's proposal, shall either:
: 1. Notify the contractor of the need for further negotiations.
When an agreement on cost and fee is reached, the NRC Contracting Officer shall then definitize the task order.
: 2.      Definitize the task order, thereby accepting the contractor's proposed price.
: 3.      Terminate the task order either in part or in its entirety in accordance with the termination clauses of this contract.

: b.        The failure of the contractor to comply in good faith with the approved plan or with the clause of this contract entitled, " Utilization of Small Business Concerns and Small Disadvantaged Business Concerns,"
will be a material breach of the contract. In the event of such a breach, the Contracting Officer shall review the available facts to determine what remedy is in the best interests of the NRC. Such remedies may include temination of the contract pursuant to the clause of this contract entitled, " Termination (Cost-Reimbursement)," negotiated reduction in con-tract price, negotiation of a revised subcontracting plan to correct deficiencies, or other negotiated measures the Contracting Officer may deem appropriate.
In detemining the proper remedy, the Contracting Officer shall consider as a minimum: (1) the reasons attributed to the failure to comply in good faith; (2) the Government's need for the contract deliverables; and (3) the impact a proposed remedy may have on existing small and disadvantaged subcontractors.        If the failure to comply in good faith cannot be settled be agreement, a Contracting Officer decision pursuant to the contract dispute clause shall be issued.

                "L.10. Subcontracting Plan for Utilization of Small and Small Disadvantaged Businesses:
The subcontracting plan requirement of Public Law 95-507 are applicable to this requirement, thus, the apparent successful offeror, if a large business concern, must be prepared to submit a detailed sub-contracting plan to the U.S. Nuclear Regulatory Consnission within forty-eight (48) hours following a request by the Contracting Officer.
The following definitions are furnished:
: 1. Business owners who certify that they are members of named groups (Black Americans, Hispanic Ameri-cans, Native Americans, Asian-Pacific Americans) are to be considered socially and economically disadvantaged.
: 2. The phrase, " Native Americans," means American Indians, Eskimos, Aleuts, and native Hawaiians.
The term, " Asian-Pacific Americans," means U.S.
citizens whose origins are from Japcn, China, the Philipines, Vietnam, Korea, Samoa, Guam,

maximum per diem rates for specific localities within the Conteminous United States (CONUS), the standard CONUS rate, the

However, in some circumstances, it may be necessary for the contractor to consnence work before he has submitted his proposal and before a final cost and fee has been agreed upon and a definitized task order is issued. 1. Notify the contractor of the need for further negotiations.

When an agreement on cost and fee is reached, the NRC Contracting Officer shall then definitize the task order.

2. Definitize the task order, thereby accepting the contractor's proposed price.
3. Terminate the task order either in part or in its entirety in accordance with the termination clauses of this contract.

b. The failure of the contractor to comply in good faith with the approved plan or with the clause of this contract entitled, " Utilization of Small Business Concerns and Small Disadvantaged Business Concerns,"

will be a material breach of the contract. In the event of such a breach, the Contracting Officer shall review the available facts to determine what remedy is in the best interests of the NRC. Such remedies may include temination of the contract pursuant to the clause of this contract entitled, " Termination (Cost-Reimbursement)," negotiated reduction in con-tract price, negotiation of a revised subcontracting plan to correct deficiencies, or other negotiated measures the Contracting Officer may deem appropriate.

In detemining the proper remedy, the Contracting Officer shall consider as a minimum: (1) the reasons attributed to the failure to comply in good faith; (2) the Government's need for the contract deliverables; and (3) the impact a proposed remedy may have on existing small and disadvantaged subcontractors. If the failure to comply in good faith cannot be settled be agreement, a Contracting Officer decision pursuant to the contract dispute clause shall be issued.

c. The contractor hereby agrees to include a provision substantially similar to this article in any subcon-tract awarded hereunder which requires the subcontractor

_tions, Conditions, and Notices to Offerors or Quoters, is amended to incorporate Paragraph L.10 as follows:

"L.10. Subcontracting Plan for Utilization of Small and Small Disadvantaged Businesses:

The subcontracting plan requirement of Public Law 95-507 are applicable to this requirement, thus, the apparent successful offeror, if a large business concern, must be prepared to submit a detailed sub-contracting plan to the U.S. Nuclear Regulatory Consnission within forty-eight (48) hours following a request by the Contracting Officer.

The following definitions are furnished:

1. Business owners who certify that they are members of named groups (Black Americans, Hispanic Ameri-cans, Native Americans, Asian-Pacific Americans) are to be considered socially and economically disadvantaged.
2. The phrase, " Native Americans," means American Indians, Eskimos, Aleuts, and native Hawaiians.

The term, " Asian-Pacific Americans," means U.S.

citizens whose origins are from Japcn, China, the Philipines, Vietnam, Korea, Samoa, Guam,

____ the U.S. Trust Territories of the Pacific, Northern Marianas, Laos, Cambodia, and Taiwan.

3. Other individuals may qualify as socially and economically disadvantaged under procedures which have been separately established by the Small Business Administration at 13 CFR 124.1-1(3)(iii).
