(hereinafter called"Consumers Power"),WITNESSETH THATWHEREAS,ZaMandConsumers Powerhavechemicalandradio-chemical analytical laboratoiesattheirDonaldC.CookNuclearPlant(DCCNP)andPalisades NuclearPlant,(PNP),respectively, whichlaboratory facilities aresuitableforperforming chemicalanalysesfollowing anucleaxrelatedaccident(NRA),andWHEREAS,ZGMandConsumers Powereachdesiretoprovidethetemporary useeoftheirrespective existinglaboratory facilities andpersonnel toperformchemicalanalysesfortheotherintheeventtheotherhaslostuseofitslaboratory facilities duetoaNRA.NOW,THEREFORE, thepartiesheretodoherebymutuallyagreeasfollows:l.Zntheeventeitherpartyheretoisunabletouseitslaboratory facilities duetoaNRA,theotherpartyagreestotemporarily useitsexistinglaboratory facilities andpersonnel, totheextentpractical, toanalyze,withoutcharge,samplesdelivered toitbythepartywhichsufferedtheNRA.Eachpartyagrees,inconnection withsuchsamplinghandlingandanalyses, tocomplywiththeeauirements ofNUREG-0578 andNUREG-0737 andsuchotherrequirements asmaybespecified bytheNuclearRegulatory Commission inregardtopostaccidentsampleanalysis.
Detailedprocedures forsampletransport, handlingandanalysiswilltbedeveloped bymutualagreement, inwriting,ofConsumers Power'sChemistry andHealthPhysicsSuperintendent atthePNPandZGM'sTechnical Department Superintendent atDonaldC.CookNuclearPlant.
2.tEach.partyagrees,inperforming analysesfortheother,toprovideahighstandardofprofessional service,provided, however,thatneitherpartyshallhaveanyobligation orliability fordamages,including, butnotlimitedto,consequential damages,arisingoutoforinconnection withtheother'suseof,orrelianceon,theresultsofsuchanalyses.

(hereinafter called"Consumers Power"),WITNESSETH THATWHEREAS,ZaMandConsumers Powerhavechemicalandradio-chemical analytical laboratoiesattheirDonaldC.CookNuclearPlant(DCCNP)andPalisades NuclearPlant,(PNP),respectively, whichlaboratory facilities aresuitableforperforming chemicalanalysesfollowing anucleaxrelatedaccident(NRA),andWHEREAS,ZGMandConsumers Powereachdesiretoprovidethetemporary useeoftheirrespective existinglaboratory facilities andpersonnel toperformchemicalanalysesfortheotherintheeventtheotherhaslostuseofitslaboratory facilities duetoaNRA.NOW,THEREFORE, thepartiesheretodoherebymutuallyagreeasfollows:l.Zntheeventeitherpartyheretoisunabletouseitslaboratory facilities duetoaNRA,theotherpartyagreestotemporarily useitsexistinglaboratory facilities andpersonnel, totheextentpractical, toanalyze,withoutcharge,samplesdelivered toitbythepartywhichsufferedtheNRA.Eachpartyagrees,inconnection withsuchsamplinghandlingandanalyses, tocomplywiththeeauirements ofNUREG-0578 andNUREG-0737 andsuchotherrequirements asmaybespecified bytheNuclearRegulatory Commission inregardtopostaccidentsampleanalysis.

Detailedprocedures forsampletransport, handlingandanalysiswilltbedeveloped bymutualagreement, inwriting,ofConsumers Power'sChemistry andHealthPhysicsSuperintendent atthePNPandZGM'sTechnical Department Superintendent atDonaldC.CookNuclearPlant.

2.tEach.partyagrees,inperforming analysesfortheother,toprovideahighstandardofprofessional service,provided, however,thatneitherpartyshallhaveanyobligation orliability fordamages,including, butnotlimitedto,consequential damages,arisingoutoforinconnection withtheother'suseof,orrelianceon,theresultsofsuchanalyses.

3.Zf,atanytime,eitherpartyanticipates thetemporary unavailability ofitslaboratory facilities orpersonnel foranyreasonorsuchfacilities orpersonnel arerenderedunavailable duetoanaccidentoractofGod,suchpartyshallpromptlynotifytheotherpartyoftheanticipated oractualunavailability ofsuchfacilities orpersonnel andtheexpecteddurationthereofinorderthattheotherpartymaymakeothersuitabletemporary arrangements foranalyses, theexpensesofwhicharrangements shallbebornebythepartymakingthearrangements.

Neitherpartyshallhaveanyobligation orliability ofanykind,arisingoutoforinconnection with,theunavailability ofitsfacilities orpersonnel asprovidedinthisSection3.4.Thisagreement shallbeeffective onthedatehereofandshallcontinueuntilterminated ashereinafter setforth.Eitherpartyhereto.mayterminate thisagreement atanytimehereafter uponsixty(60)dayswrittennoticeofsuchtermination
