#6 Relating to Application for Order Approving Indirect Transfer of Control of Licenses By letter dated July 30, 2007, and as supplemented on October 31, 2007, December 5, 2007, January 24, 2008, March 11, 2008, and April 22, 2008, Entergy Nuclear Operations, Inc., also referred to previously as ENOI, LLC (either company herein, ENO), acting on behalf of itself and Entergy Nuclear Generation Company, Entergy Nuclear FitzPatrick, LLC, Entergy Nuclear Vermont Yankee, LLC, Entergy Nuclear Indian Point 2, LLC, Entergy Nuclear Indian Point 3, LLC, and Entergy Nuclear Palisades, LLC (together, Applicants), requested that the Nuclear Regulatory Commission (NRC) consent to the indirect transfer of control of the above-captioned licenses pursuant to Section 184 of the Atomic Energy Act, as amended (the Act), and 10 CFR 50.80. -
ENOC-08-00027 Page 2 of 2 The indirect transfer of control results from certain planned restructuring transactions that would involve the creation of a new holding company, new intermediary holding companies and/or changes in the intermediary holding companies for the ownership structure for the corporate entities that hold the NRC licenses for Pilgrim, Indian Point 1, 2, and 3, FitzPatrick, Vermont Yankee, Palisades and Big Rock Point (together, the Facilities), including both the six corporate entities (named among the Applicants above) licensed fbr their ownership of the Facilities and ENO, which is the entity licensed to operate or maintain the Facilities.
By letter dated April 22, 2008, ENO provided two new names that have been selected in connection with the proposed transfers: "Enexus Energy Corporation" and "EquaGen LLC." This letter provides further information and corrects information provided on April 22, 2008.The new corporate entity, previously referred to as "NewCo" will be named "Enexus Energy Corporation." "EquaGen LLC" will be the name of ENO's immediate corporate parent, which was previously identified as "ENOI Holdings, LLC," and ENO itself will be named "EquaGen Nuclear LLC." Please note that there are no periods or commas in the names "EquaGen LLC" and "EquaGen Nuclear LLC." The intermediary holding companies that each own 50% of EquaGen LLC will be named to align with the "EquaGen" name, so that the companies previously identified as "ETR ENOI Holdings, Inc." and "NewCo ENOI Holdings, LLC" will be named "Entergy EquaGen, Inc." and "Enexus EquaGen, LLC," respectively.
The names of the affected corporate entities are provided in the attached Figure 5.The names of other companies owned by Enexus Energy Corporation that currently have"Entergy Nuclear" in their names will be revised to be aligned with the "Enexus" name, i.e., in each name "Enexus Nuclear" will replace "Entergy Nuclear."
