Cottle, "South Texas Project Electric Generating Station, Unit Nos. 1 and 2 - Order Approving the Direct Transfer of Licenses from Reliant Energy, Incorporated (Formerly Known as Houston Lighting and Power Company) to Texas Genco LP, Approving Conforming Amendments, and Approving Indirect Transfers (TAC Nos. MB2140 and MB2141)," dated December 20, 2001 In accordance with the referenced letter, on behalf of Reliant Energy, Incorporated (referred to herein as Reliant Energy), STP Nuclear Operating Company (STPNOC) hereby informs the NRC that August 31, 2002, is the closing date for the direct transfer~of Reliant Energy's 30.8 percent ownership interest in the South Texas Project Electric Generating Station, Units 1 and 2 to Texas Genco LP, which will be indirectly wholly-owned by CenterPoint Energy, Inc., and to the extent a direct transfer of control will result, transfer of Reliant Energy's 30.8 percent ownership interest in STPNOC. Following the closing, and in order to reduce public confusion, CenterPoint Energy will continue doing business using the name "Reliant Energy, Incorporated" until it completes the distribution of the common stock of its unregulated subsidiary, Reliant Resources. After that distribution, which is expected to occur in early Fall 2002, CenterPoint Energy will do business under its corporate name.
This letter also serves notice that Reliant Energy has received all approvals required for transfer of ownership to Texas Genco LP. In addition, the Attachment to this letter provides a copy of a letter from American Nuclear Insurers, which serves as documentary evidence that Texas Genco LP has obtained the appropriate amount of insurance required of licensees under 10CFR140.
