In Reference 1, NextEra Energy Duane Arnold, LLC ("NEDA"), Central Iowa Power Cooperative ("CIPCO"),
and Corn Belt Power Cooperative ("Corn Belt") (collectively, the "Applicants"), requested the U.S. Nuclear Regulatory Commission ("NRC") to consent to the consolidation of all outstanding ownership interests in the Duane Arnold Energy Center and its generally licensed independent spent fuel storage installation (ISFSI) (collectively, "DAEC"), in NEDA, the current operator licensee and 70% owner of the DAEC.
Specifically, the applicants sought to transfer (1) CIPCO's 20% ownership interest of the DAEC and (2)
Corn Belt's 10% ownership interest of the DAEC to NEDA (the "Transfers"). NEDA also requested NRC approval of an administrative amendment to the DAEC Facility License and the DAEC ISFSI License to reflect the transfer.
In Reference 2, the NRC requested additional information deemed necessary to complete its review. to this letter provides NEDA's response to the NRC's requests for additional information (RAls). contains personal privacy information. Accordingly, NEDA requests that the information in this RAI response marked as private be withheld from public disclosure pursuant to 10 CFR 2.390. Enclosure 2 to this letter provides a redacted version of Enclosure 1 suitable for public dissemination.
The information in this RAI response provides additional information that clarifies the application, does not expand the scope of the application as originally noticed, and should not change the NRC staffs originally proposed notice of determination of no significant hazards as published in the Federal Register.
This letter contains no regulatory commitments.

Question 1 Foreign Ownership, Control, or Domination: in addition to the statement that "the transfer will not result in any impermissible foreign ownership, control and domination", per 10 CFR 50.80 b(1 ), as indicated in 1 O CFR 50.33 d(3), contents of applications: general information, if applicant is a corporation or an unincorporated association, state: (i) The state where it is incorporated or organized and the principal location where it does business; (ii) The names, addresses and citizenship of its directors and of its principal officers; (iii) Whether it is owned, controlled, or dominated by an alien, a foreign corporation, or foreign government, and if so, give details.
Please provide the following information:

Names of the directors and principal officers of NextEra Energy Duane Arnold (NEDA) and names of board members for NextEra Energy, Inc., or its subsidiaries, that exercise control over the operation of the DAEC (if any),
- 2.
Address (can be corporate address) for each named individual, and

Additionally, please provide a statement similar to the following, revised as appropriate to be applicable to NEDA:
NEDA is a privately held corporation/publicly traded company owned by domestic entities/genera/
stockholders that are in turn controlled by a U.S. citizen. NEDA is led by its Chief Executive Officer, a U.S.
citizen, and management of the company is vested in the NEDA executive leadership team, including the Executive Committee members listed in supplemental to the application..... All the members of the NextEra Executive Committee are U.S. citizens. All the managers and principal officers of the intermediate subsidiary (if this is needed), NEDA are U.S. citizens. All the principal officers of NEDA who have direct responsibility for NRG-regulated activities are U.S. citizens. And all the principal officers of NEDA are U.S.
citizens.
NEDA Response:
NextEra Energy Duane Arnold, LLC ("NEDA") is a Delaware limited liability company ("LLC"). Its principal place of business is 700 Universe Boulevard, Juno Beach, Florida 33408. NEDA is led by its principal officers, including its President, a U.S. citizen, and general authority over the company is vested in the principal officers of NEDA, including the individuals listed herein. NEDA is 100% owned by ESI Energy LLC, a Delaware LLC, which in turn is 100% owned by a Delaware LLC, which in turn is 100% owned by a Florida corporation, which in turn is 100% owned by a Florida corporation that is publicly traded. NEDA is a member-managed LLC, managed by its sole member (ESI Energy, LLC). ESI Energy, LLC is a Delaware LLC.
