Dear Sir or Madam:
Entergy Nuclear Operations, Inc. provides this notice on behalf of Entergy Nuclear Holdings Company (ENHC) regarding the planned conversion of ENHC from a corporation to a limited liability company. As described in Section 2.2.1 of the Safety Evaluation Report (ADAMS Accession Number ML081080352), a description that remains accurate today, ENHC is the indirect owner of the licensees that own Indian Point Nuclear Generating Station Nos. 1 & 2, Big Rock Point, Palisades Nuclear Plant and Vermont Yankee Nuclear Power Station. ENHC is not itself a licensee. Effective on or about December 16, 2013, ENHC will be converted from a corporation organized under the laws of the State of Delaware to a limited liability company organized under the laws of the State of Delaware. The conversion will occur through the operation of Delaware law. Other than the new corporate form and associated name change to Entergy Nuclear Holdings Company, LLC, there will be no changes regarding the ownership or management of the licensees that ENHC indirectly owns. Thus, this change does not involve any direct or indirect transfer of control of any license, which would require approval pursuant to 10 CFR 50.80.
