FitzPatrick Nuclear Power Plant Docket Nos. 50-333 & 72-12 Vermont Yankee Nuclear Power Station Docket Nos. 50-271 & 72-59 Palisades Nuclear Plant Docket No. 50-255 & 72-7 Notice Regarding Trustee for Nuclear Decommissioning Trusts Entergy Nuclear Operations, Inc., acting on behalf of Entergy Nuclear Generation Company (Pilgrim Station), Entergy Nuclear FitzPatrick, LLC, Entergy Nuclear Vermont Yankee, LLC, Entergy Nuclear Indian Point 2, LLC, Entergy Nuclear Indian Point 3, LLC, and Entergy Nuclear Palisades, LLC, provides this notice that effective July 1, 2008, The Bank of New York Mellon will be the trustee for the nuclear decommissioning trusts maintained for the above captioned licenses, as a result of a corporate restructuring involving the current trustees, Mellon Bank, N.A. and The Bank of New York.
Mellon Bank, N.A. is currently Trustee pursuant to the following trust agreements:
- 1. "Entergy Nuclear Generation Company Master Decommissioning Trust", as amended (December 16, 2005 latest Amendment)

- 2. "Entergy Nuclear Indian Point Nuclear Generating Units 1 and 2 Master Decommissioning Trust", as amended (September 4, 2001 latest Amendment)
- 3. "Entergy Nuclear Indian Point Units 1 and 2 Provisional Decommissioning Trust" (dated August 30, 2001)
- 4. "Entergy Nuclear Vermont Yankee Master Decommissioning Trust" (dated July 31, 2002)
- 5. "Entergy Nuclear Palisades Master Decommissioning Trust" (dated April 11, 2007)
The Bank of New York is currently Trustee pursuant to the following trust agreement for FitzPatrick and Indian Point 3:
- 1. "Power Authority of the State of New York Master Decommissioning Trust", as amended (November 21, 2000 latest amendment)
The trust agreements will not be amended, and the existing terms of the trust agreements will continue uninterrupted. As a result of the restructuring, The Bank of New York Mellon will have all of the same obligations and responsibilities under the trust agreements as Mellon Bank, N.A. and The Bank of New York. Previously, Mellon Bank, N.A. was owned by Mellon Financial Corporation, and The Bank of New York was owned by The Bank of New York Company, but last year on July 2, 2007, Mellon Financial Corporation and The Bank of New York merged to form a holding company, The Bank of New York Mellon Corporation.
Following the merger, Mellon Bank, N.A. and the Bank of New York remained the trustees for their respective trusts and will continue as such until the planned restructuring is completed on July 1, 2008. At that time, The Bank of New York Mellon will be the trustee, having all of the obligations and responsibilities of the trustees under the existing terms of the trust agreements.
The restructuring is occurring by operation of law, and no amendments to the trust agreements are required. However, the next time that amendments to the trust agreements may be required for another reason, the trust agreements will likely also be amended to reflect that The Bank of New York Mellon is the Trustee.
This letter contains no new commitments.
