ALLIANT TECHSYSTEMS OPERATIONS, LLC, APPROVAL OF INDIRECT TRANSFER OF CONTROL, MAIL CONTROL NO. 608605
Dear Mr. Hadra:
By the letters dated April 26, 2018, and June 20, 2018, Alliant Techsystems Operations, LLC informed the U.S. Nuclear Regulatory Commission (NRC) of an indirect transfer of control of the license and requested NRC's consent. On September 17, 2017, Orbital ATK, Inc., the parent company to Alliant Techsystems Operations, LLC, entered into an Agreement and Plan of Merger with Northrop Grumman Corporation.
On June 6, 2018, Orbital ATK, Inc. merged with and became a wholly owned subsidiary of Northrup Grumman Corporation and changed its name to Northrup Grumman Innovations Systems, Inc. After the merger, Alliant Techsystems Operations, LLC, continues to exist as a wholly owned subsidiary of Northrup Grumman Innovations Systems, Inc. From your letter, we understand that this transfer will not result in any change to the licensee's name, location of use, materials, persons using licensed material, or persons responsible for radiation safety at the licensed facility.
Thus, this was a request for post-hoc approval to transfer control. Alliant Techsystems Operations, LLC and Grumman Corporation did not comply with NRC regulations as they did not receive the NRC's prior written approval for this transfer of control as required by 10 CFR 40.46(a) and Section 184 of the Atomic Energy Act of 1954, as amended. Based on the above understandings, as more fully detailed in the enclosed NRC staff's Safety Evaluation Report, which documents the NRC staff's safety review of the indirect transfer of control, the NRC consents to the transfer.
Future changes in the licensee's name, licensed use, licensed materials, licensed location, or persons responsible for licensed material require submission of a request to amend the license. NRC approval must be received prior to implementation of the proposed change. An environmental assessment for this action was not required, since this action is categorically excluded under 10 CFR 51.22(c)(21).
