Dear Mr.Denton:

This letter transmits our request, for an amendment to the Facility Operating Licenses for the Donald C.Cook Nuclear Plant.Enclosed please find three signed originals and twenty-five copies of our application for the amendment.

Presently, Xndiana 6 Michigan Electric Company (IMECo)and Indiana 6 Michigan Power Company (IMPCo), a wholly-owned subsidiary of IMECo, are the co-holders of these Licenses.Xt is proposed to merge XMPCo into IMECo, with IMECo being the surviving corporation.

The applica-tion requests the Commission to reflect this proposed merger by amending the Licenses.We consider the requested amendments to be Class I and Class II amendments pursuant to 10 CFR 170.22.Accordingly, we" are enclosing a check for$1,600 as the combined fee required for Class,I and Class II amendments.
