NONDISCLOSURE AGREEMENT THIS AGREEMENT, made as of this 0/-4r day of May, 2002, by Sarah Hofmann, Special Counsel, of and for the Vermont Department of Public Service, 112 State Street, Montpelier, Vermont 05620-2601, and the U.S. Nuclear Regulatory Commission (NRC).
WITNESSETH:
WHEREAS, the Vermont Department of Public Service has requested that the NRC provide a copy of the proprietary version of the NRC Staffs Safety Evaluation, dated May 17, 2002, supporting the Order Approving Transfer of License and Conforming Amendment (May 17, 2002) (Docket No. 50-271) regarding the Vermont Yankee Nuclear Power Station; and WHEREAS, notwithstanding the above-referenced Safety Evaluation is considered to contain confidential and/or proprietary information submitted to the NRC by Entergy Nuclear Vermont Yankee, LLC, it will be made available to the Vermont Department of Public Service provided that the Vermont Department of Public Service agrees to maintain the confidential and proprietary nature thereof; NOW, THEREFORE, the Vermont Department of Public Service agrees as follows:
- 1. The above-referenced Safety Evaluation requested from the NRC is considered by the NRC and Entergy Nuclear Vermont Yankee, LLC to contain confidential and/or proprietary information.
- 2. The Vermont Department of Public Service shall treat and safeguard the Safety Evaluation as containing proprietary and/or confidential material and will not release it to any third party without prior written authorization from the NRC.
- 3. The Vermont Department of Public Service shall use the aforesaid Safety Evaluation only for official business of the Vermont Department of Public Service.
- 4. Any reports, memoranda, or work products developed by the Vermont Department of Public Service which employ, use, or republish information identified as confidential and/or proprietary by the NRC and Entergy Nuclear Vermont Yankee, LLC shall be appropriately marked and protected.
- 5. The Vermont Department of Public Service shall not use or reference the information identified as proprietary in the Safety Evaluation in open literature unless and until Entergy Nuclear Vermont Yankee, LLC releases the information to the public.
- 6. The Vermont Department of Public Service shall promptly return to the NRC all confidential and/or proprietary information which was provided by the NRC in the above-referenced Safety Evaluation and all copies thereof, upon written request thereof by the NRC.

- 7. This Nondisclosure Agreement shall inure to the benefit of the NRC and Entergy Nuclear Vermont Yankee, LLC and their successors and assigns.
IN WITNESS WHEREOF, the undersigned has executed this Nondisclosure Agreement on behalf of and for the benefit of the Vermont Department of Public Service to be effective as of the day and year hereinabove first mentioned.
